LOCATION AND TIME. The closing of the transactions contemplated by this Agreement (the "CLOSING") shall take place at the offices of Xxxxxxxx Xxxxxxxx & Xxxxxx P.C., 0000 Xxx Xxxxxx, 0000 Xxxxxxxxxxx Xxxxx, Xxxxxx, Xxxxx 00000, simultaneously with the execution of this Agreement (the "CLOSING DATE").

The closing of the Merger (the “Closing”) shall take place no later than the second Business Day after satisfaction or waiver (as permitted by this Agreement and applicable Law) of the conditions (excluding conditions that, by their terms, cannot be satisfied until the Closing Date) set forth in Article VI (the “Closing Date”), unless another time or date is agreed to in writing by the parties hereto. LOCATION AND TIME. PERMITTEE is authorized to conduct film making activities at the location indicated on the FILMING PERMIT. Any changes or extensions must be specifically authorized in advance by the City Finance Director or authorized agent.

b. Permittee’s artwork may be viewed at the CAC during regular business hours.
c. The County shall have the authority to extend or shorten the length of Permittee’s exhibit.
