Lock-up; Transfer Restrictions. The Sponsor and each Insider agrees that it, he or she shall not Transfer: (a) any Founder Shares (the “Founder Shares Lock-up”) until the earlier of (i) six months after the completion of an initial Business Combination or (ii) subsequent to the consummation of an initial Business Combination, the date on which the Company consummates a transaction which results in all of its shareholders having the right to exchange their shares for cash, securities, or other property (the “Founder Shares Lock-up Period”); and
