M aintenance. The Licensed Area shall be maintained by the Licensee in accordance with the Conservation Easement, the Community Forest Plan and this Agreement, including the following additional conditions:
a. Licensee shall assist the Town to implement, at town’s expense, a long-term plan to maintain, improve and upgrade any substandard existing stream crossings that are a part of the trail network and elsewhere on the Property as determined by the Town, to a safe and environmentally sustainable condition and, if necessary, to replace stream crossings with new stream crossings as agreed to by Licensee and the Town, including but not necessarily limited to providing the use of Licensee’s equipment and available labor forces. The Town shall be primarily responsible for the initial replacement and repair of the bridges denoted as ▇▇▇, ▇▇▇, ▇▇▇, ▇▇▇, ▇▇▇, ▇▇▇ and B60 on attached map and Licensee shall assist Town. Once replaced and repaired, the Licensee shall maintain all trails, bridges and culverts in good repair according to paragraph 5b herein.
b. Licensee will conduct an annual October inspection of the trail system and shall invite the Town to accompany the Licensee on said inspection. Licensee shall identify any needed repairs or improvements and add or remove trails from the trail system and submit an annual work plan (the “Annual Maintenance Plan”) to the Town on or before May 1. On or before June 1 of each year, the Town shall report its findings to the Licensee concerning the Annual Maintenance Plan and deliver a copy to Licensee. Unless the Town objects to the entire Annual Maintenance Plan, all portions of the Annual Maintenance Plan, other than those identified as objectionable by the Town, shall be deemed approved, and Licensee may commence work needed to execute the Annual Maintenance Plan on all such approved portions of the plan. If the Town requests changes to the Annual Maintenance Plan, Licensee shall have until July 1 to agree to such changes. If the parties are unable to agree, then the Town and the Licensee agree to submit any issues related to compliance with the Conservation Easement for final decision by the Easement Holders and thereafter the Annual Maintenance Plan shall be incorporated into the then current Community Forest Plan. Licensee shall make all reasonable efforts to complete all identified repairs and improvements by November 1 or such later date as permitted by weather or other physical condition for more significant improvements. M aintenance. Licensee shall, during the term of this License, and at its sole expense, keep the Premises in good order and repair, reasonable wear and tear excepted. Licensee shall be responsible to maintain the Premises in accordance with the Rules so that the Premises may be utilized for the purposes set forth in this License. Such obligation shall include, but not be limited to, cleaning and disinfecting restroom facilities regularly while players and fans are present, and placing markings on the ground to ensure individuals waiting to use the restroom are spaced six (6) feet apart, if any such restroom facilities are included and open for use on the Premises. Licensee shall also ensure that the concession stand, if any, is only allowed to open if all requirements set forth in the Rules are followed. Licensee shall ensure that the stands, bleachers, or other facilities are only utilized in accordance with the applicable Rules and that any spectators are those permitted to be in attendance at the Premises in accordance with the Rules. Licensor shall be responsible for any mowing, irrigation, or application of fertilizer or weed control on the Premises in accordance with past practices of Licensor. Provided, however, Licensee shall be responsible for any of the same if they are caused by Licensee’s misuse or damage to the Premises. Licensee agrees to promptly notify Licensor of any maintenance or repair that is the responsibility of Licensor hereunder.
M aintenance. Tenant(s) agree to replace the smoke detector(s) battery, if any, at any time the existing battery becomes unserviceable.
M aintenance. Window On a weekly basis, Immuta may perform maintenance to the Service that results in downtime of up to 1 hour. Immuta may implement a Subscriber-selectable weekly 1 hour maintenance window in the Cloud Console portion of the Service. Until such time that said feature is implemented, Immuta may perform maintenance resulting in up to 1 hour of down time on a weekly basis starting on Sunday at 2PM Eastern Time. County may perform periodic unannounced and/or noticed inspections of the fields and appurtenances thereto to determine the condition thereof.
M aintenance. (a) Spin shall have the responsibility to maintain all Charging Hubs and other equipment/facilities. City shall not have any obligation with regards to the maintenance of Charing Hubs and equipment/facilities. Spin shall be responsible for maintaining the Charging Hubs in good repair and in a manner that shall not interfere, other than nominally due to the presence of such Charging Hub or Spin Scooters in the Right of Way, with the proper, safe and continuous use of the Right of Way by pedestrians and motorists at the Approved Location(s), subject to ordinary wear, tear, casualty and condemnation.
(b) Notwithstanding anything in the above provision, the parties agree that City shall have the right to work within the Right of Way, whether by its own forces or contracted forces.
M aintenance. Contractor shall provide all hosting related maintenance for the Web Site on an ongoing basis during the term of the Agreement, including backups, server maintenance, and troubleshooting.

4.2. MCJF&C shall provide all supplies and materials necessary to perform the maintenance requirements described herein at the sole expense of the MCJF&C. County may perform periodic unannounced and/or noticed inspections of the fields and appurtenances thereto to determine the condition thereof.
M aintenance. Maintenance for licenses may be purchased for one-year terms (each a “Maintenance Term”). Provided Licensee has purchased Maintenance or has a Subscription License, RedSeal will provide the Maintenance specified in Exhibit A during the Maintenance Term or term of the Subscription License. If Licensee has not renewed its Maintenance contract, then the License will still be valid but RedSeal will not provide Maintenance as specified in Exhibit A. Hardware maintenance is available for annual periods not to exceed three years following date of the Hardware purchase. RedSeal agrees to make Maintenance for Software available for at least three years following the first delivery date of the particular Software to Licensee at RedSeal’s then current rates as dentified in Appendix C of DIR Contract No. DIR-TSO-4393. If Licensee has purchased Maintenance for an individual Product deployment under more than one service level (e.g. Basic for some network devices and Premium for others), the lowest class of Maintenance purchased will govern support for such Product deployment. If Licensee has staggered Maintenance renewal dates for network device licenses, then all licensed network devices must be covered by a current Maintenance contract to obtain Maintenance from RedSeal.
