Major Non-Equity Members and Other Team Members. Identify all Major Non-Equity Members and any other team members that Proposer wishes to identify in its SOQ at this time. For each Major Non-Equity Member and other team member of Proposer, identify the entity’s role and the entity’s legal nature and state of organization. If the Lead Contractor, Lead Engineering Firm, Lead O&M Firm or Luminaire Supplier3 is a consortium, partnership or any other form of joint venture, the SOQ shall contain a corresponding, executed teaming agreement, but if an executed agreement does not yet exist, the SOQ shall contain a summary of the key terms of the anticipated teaming agreement, including percentages of ownership, roles of the various parties, a stated commitment of the parties to execute the agreement prior to submitting the Proposal, and the anticipated execution date. Executed teaming agreements or summaries of teaming agreement key terms shall be included in an appendix to Volume 1 of the SOQ. Proposer’s team shall not include more than one Lead

  • Members (a) A Person shall be admitted as a Member and shall become bound by, and shall be deemed to have agreed to be bound by, the terms of this Agreement if such Person purchases or otherwise lawfully acquires any Share, and such Person shall become the Record Holder of such Share, in accordance with the provisions of this Agreement. A Person may become a Record Holder without the consent or approval of any of the Members and without physical execution of this Agreement. A Person may not become a Member without acquiring a Share.

  • Member's Capital Accounts A Capital Account for the Member shall be maintained by the Company. The Member's Capital Account shall reflect the Member’s capital contributions and increases for any net income or gain of the Company. The Member’s Capital Account shall also reflect decreases for distributions made to the Member and the Member’s share of any losses and deductions of the Company.
