Major Subcontracts. The following Subcontracts are Major Subcontracts, and will apply even if the actual contractual arrangement is as a Sub-subcontractor. Major Subcontracts. Exhibit I provides a list of the Major Equipment Vendors and the Primary Contractor which the General Contractor and Owner have agreed are approved for the Project. In the event that Contractor is considering the selection of an entity not listed in Exhibit I for a Major Subcontract, then General Contractor shall notify Owner of the proposed Subcontractor at the earliest practical point in the selection process and furnish to Owner information with respect to General Contractor’s selection criteria. General Contractor shall request Owner’s consent to any such proposed Major Subcontractor and such consent not to be unreasonably withheld. If Owner has neither responded to the notice nor consented to the proposed Major Subcontractor after five business days following Contractor’s notice, such Major Subcontractor shall be deemed approved. If Owner has refused to consent, it shall identify in writing its reasonable basis for such rejection within such 5-day period; then General Contractor shall not enter into a Subcontract with such proposed Subcontractor. All LIMA/GEC/EPC 9 Confidential Business Information other Subcontracts may be executed without prior notice or approval from Owner or others. Owner agrees to promptly cooperate with General Contractor to resolve any difference between them regarding such non-approval.

Major Subcontracts. Contractor shall require that any Major Subcontract entered into substantially concurrently with or following the execution of this Contract include a provision substantially similar to this Article 6 (Access to Work) to ensure Customer's rights under this Contract, but Contractor shall not be required to amend any bulk procurement contract to include such provision.
Major Subcontracts. (a) Contractor has represented that in the performance of the Work required by this Contract it will be necessary for Contractor or its Subcontractors to enter into the Major Subcontracts with certain of the entities identified in Exhibit D (Test Plan Requirements) hereto. Contractor shall select the Major Subcontractors only from those entities approved by Customer and listed in Exhibit D (Test Plan Requirements), and, to the extent permitted by the Subcontractor agreement, Customer shall be provided with copies of the technical content and a copy of the full text of any Major Subcontract (excluding price and payment schedule) promptly upon execution thereof, and upon Customer's request. (b) As of the Effective Date of Contract, the approved list of Major Subcontractors is as specified in Exhibit D (Test Plan Requirements). Contractor shall notify Customer promptly in writing upon selection of a Major Subcontractor and upon any change in any Major Subcontractor, said change to be only from the list of alternatives in Exhibit D (Test Plan Requirements). (c) Customer's acknowledgment or approval of any Major Subcontractor or Subcontractor shall not relieve Contractor from any obligations or responsibilities under this Contract.
Major Subcontracts. Appended to this Agreement as Exhibit 3.2 is a list of approved Subcontractors. In the event that Contractor is considering the selection of a Subcontractor not listed in Exhibit 3.2 for a Major Subcontract, Contractor shall (i) notify Owner of the proposed Major Subcontractor(s) at the earliest practical point in its selection process and furnish to Owner all information reasonably requested by Owner with respect to Contractor’s selection criteria (including copies of bid packages furnished to prospective Major Subcontractors and the qualifications of proposed Major Subcontractors) and (ii) notify Owner no less than ten (10) Business Days prior to the proposed date of execution of a Major Subcontract. Owner shall have the right to reject for good cause any proposed Major Subcontractor; provided, that such good caused is based on and limited to the technical capacity, performance history or financial condition of such prospective Major Subcontractor. Contractor shall not enter into any Major Subcontract with a proposed Major Subcontractor rejected by Owner. Owner shall undertake in good faith to review the information provided by Contractor expeditiously and shall notify Contractor of any such rejection as soon as practicable after such decision is made. If at the end of the ten (10) Business Days after receipt of such information by Owner, Contractor has not received notice of Owner’s rejection of the proposed Major Subcontractor, Contractor shall have the right to execute such agreement with the proposed Major Subcontractor and such Major Subcontractor shall be deemed added to the list of approved Subcontractors in Exhibit 3.2. Owner’s approval not to be unreasonably withheld.
Major Subcontracts. Contractor shall select Major Subcontractors subject to Purchaser’s prior written approval, and Purchaser shall be provided with complete copies of all Major Subcontracts ([***]) promptly upon execution thereof. For purposes of this Contract, a “Major Subcontract” shall be any Subcontract that has a contract value of at least [***] US dollars ($[***]), or, in the event Contractor issues Subcontracts therefor, for those items set forth below. In the event Contractor or any Subcontractor desires to terminate any Major Subcontractor or to substitute Subcontractors on any Major Subcontract, Contractor shall first notify Purchaser in writing. To the extent that the Contractor elects to procure the following items from Subcontractors, those Subcontractors shall be Major Subcontractors: [***].
