Marketing Discretion. Except where marketing rights are expressly restricted in this Alliance Agreement, the parties shall retain full freedom and flexibility concerning the marketing of their products, including the decision whether to market or discontinue marketing of products, and the decision of what level of marketing effort to be undertaken. Neither party undertakes any obligation to announce or market any products. Nothing in this Alliance Agreement shall be construed as creating any obligation of "best efforts" or other level of marketing effort.

Marketing Discretion. CII shall be free to exercise its own discretion as to the time, place and manner of its actual marketing activities related to this Agreement. PGPG acknowledges that CII relies on third party services to provide several of the services to be rendered under this Agreement. The availability and quality of these third party services is subject to change from time to time for reasons outside the control of CII. Therefore, CII reserves the right to change third party service providers when it is deemed by CII to be in the best interest of PGPG to effectively implement its program.
Marketing Discretion. PFA shall in its discretion determine in what form the finished processed products shall appear for marketing and what label or labels shall appear on such finished processed products. PFA shall establish the price at which it shall sell products originating in whole or in part from Pro-Fac crops. To facilitate the marketing of the finished products by PFA, title to the Pro-Fac crops shall pass to PFA at the time such crops are graded and accepted by PFA.
Marketing Discretion. EML shall be free to exercise its own reasonable discretion as to the time, place and manner of its actual activities related to this Agreement, as deemed by EML to be necessary and in the best interests of GPTC. GPTC acknowledges that EML may rely on third party services to provide some of the services to be rendered under this Agreement. The availability and quality of these third party services is subject to change from time to time for reasons outside the control of EML. Therefore, EML reserves the right to change third party service providers when, in its sole and absolute discretion, it is deemed by EML to be commercially appropriate or necessary in order to implement GPTC’s program.

(d) review the status of material Product manufacturing and supply activities and strategies associated with Commercialization; (e) review and discuss the major findings of Collaborator’s market research with respect to any Product in the Collaborator Territory, if any; (f) review and oversee the branding and product positioning strategy for Products in the Collaborator Territory and evaluate Collaborator’s brand strategy for the Product in the Collaborator Territory for consistency with the then-current global brand strategy for the Product; (g) discuss Product list price and status of reimbursement in the Collaborator Territory; and (h) perform such other functions as may be appropriate to further the purposes of this Agreement with respect to the Commercialization of Products, including endeavoring to resolve any disputes between the Parties arising from the deliberations of the JCC, or as otherwise directed by the JEC.

  • Sole Discretion As the term "sole discretion" is used in this Agreement, --------------- unless otherwise defined, it will be interpreted as the exercise of reasonable discretion applying normal business practices to a contractual relationship between a company and its chairman and chief executive officer.

  • Investment Promotion 1. Each Contracting Party shall promote investments in its territory by investors of the other Contracting Party and admit such investments in accordance with its legislation. 2. In particular, each Contracting Party shall permit the conclusion and the carrying out of licensing agreements and contracts for commercial, administrative or technical assistance, in so far as these activities were related to investments.

  • Development Committee Arcadia and Xxxxxx shall establish a development committee (the “Development Committee”) comprised of no more than three (3) representatives of each of Arcadia and Xxxxxx. The Development Committee shall be chaired by a member thereof designated from time to time by Arcadia. The Development Committee shall oversee the Research Plan, Milestones and development and production of plants and microorganisms that produce Transgenic Oil in accordance with the Research Plan. The Development Committee may revise the Research Plan and the Milestones as deemed necessary and appropriate by unanimous written consent of all members. Meetings of the Development Committee shall be at least biannual and at such times and places or in such form (e.g., in person, telephonic or video conference) as the members of the Development Committee shall determine. Representatives of both Parties shall be present at any meeting of the Development Committee. Decisions of the Development Committee shall be made by a written consent signed by all six (6) members thereof. The Development Committee shall keep minutes of its deliberations setting forth, among other matters, all proposed actions and all votes thereon. All records of the Development Committee shall at all times be available to both Parties. The Development Committee by unanimous consent may delegate to one Party or to a specific representative the authority to make certain decisions. The Development Committee may revoke such authority by the written consent of four members. All disagreements within the Development Committee shall be subject to the following: (i) The members of the committee will endeavor in good faith for a period of not more than ninety (90) days to attempt to resolve the disagreement; (ii) If the members of the committee are unable to resolve the disagreement by the end of such period, the committee shall promptly present the disagreement to the President of Xxxx Products Division and the President of Arcadia or their respective designees, and the two executives shall endeavor to resolve the disagreement for a period of not more than thirty (30) days; (iii) If the two executives are unable to resolve this disagreement, the disagreement shall be submitted for ADR as provided in Section 12(a).

  • Administrator Discretion The Administrator, in its discretion, may accelerate the vesting of the balance, or some lesser portion of the balance, of the unvested Option at any time, subject to the terms of the Plan. If so accelerated, such Option will be considered as having vested as of the date specified by the Administrator.

  • Marketing Plan The MCOP shall submit an annual marketing plan to ODM including all planned activities for promoting membership in or increasing awareness of the MCOP. The marketing plan submission shall include an attestation by the MCOP that the plan is accurate and is not intended to mislead, confuse, or defraud the eligible individuals or ODM.

  • Selection Committee A. Each building site will appoint a selection committee for the TLS. The committee shall be comprised of equal numbers of teachers and administrators and at least one teacher will be appointed by the Des Moines Education Association. B. The committee will accept and review application for a TLS position and will make recommendations to the hiring administrator. In developing recommendations, the committee will utilize measures of teacher effectiveness and professional growth, consider the needs of the school district and review the performance and professional development of the applicants. Teachers who are selected must meet all of the qualification contained in the TLS grant and contained in the law.
