Material Statements and Omissions. Absence of Events. The information with respect to ATS included in the ATS Information Statement/Prospectus, dated December , 1997 heretofore delivered by ATS to each of the Purchasers (the "ATS Information Statement/Prospectus") does not and will not contain any untrue statement of a material fact and does not and will not omit to state any material fact required to make any statement contained herein or therein, in light of the circumstances under which they were made, not misleading. Since the date of the most recent financial statements set forth in the ATS Information Statement/Prospectus, except to the extent described in the ATS Information Statement/Prospectus, there has been no material adverse change in ATS.
Material Statements and Omissions. Absence of Events; Materiality. No representation or warranty made by EXCL contained in this Agreement, the EXCL Disclosure Schedule or any certificate, document or other instrument furnished or to be furnished by EXCL pursuant to the provisions hereof contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact required to make any statement contained herein or therein not misleading. Except as set forth in Section 3.4 of the EXCL Disclosure Schedule, EXCL is not aware of any impending or contemplated Event (other than Events affecting general business, market or economic conditions or the radio broadcasting industry generally) that would cause any of the representations and warranties made by it in this Article not to be true, correct and complete on the date of such Event as if made on that date. The representations and warranties set forth in this Article would in the aggregate be true and correct even without the materiality exceptions or qualifications contained therein or set forth in the EXCL Disclosure Schedule, except for such exceptions and qualifications including without limitation those set forth in the EXCL Disclosure Schedule which, in the aggregate for all such representations and warranties, are not and could not reasonably be expected to be materially adverse to EXCL.

No representation or warranty made by American contained in this Agreement, the American Disclosure Schedule or any certificate, document or other instrument furnished or to be furnished by American pursuant to the provisions hereof contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact required to make any statement contained herein or therein not misleading. American is not aware of any impending or contemplated Event (other than Events affecting general business, market or economic conditions or the radio broadcasting industry generally) that would cause any of the representations and warranties made by it in this Article not to be true, correct and complete on the date of such Event as if made on that date. Neither any representation or warranty made by any FBG Entity contained in this Agreement or in any certificate, document or other instrument furnished or to be furnished by any FBG Entity pursuant to the terms hereof nor the FBG Disclosure Letter contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact required to make any statement contained herein or therein, in light of the circumstances in which they were made, not misleading.

No representation or warranty made by ARS or ARS License contained in this Agreement, any ARS or ARS License Schedule or any certificate, document or other instrument furnished or to be furnished by ARS or ARS License pursuant to the provisions hereof contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact required to make any statement contained herein or therein not misleading. Neither ARS nor ARS License is aware of any impending or contemplated event that would cause any of the representations and warranties made by it in this Article not to be true, correct and complete on the date of such event as if made on that date.

No representation or warranty made by Entercom and ECI contained in this Agreement, any Entercom or ECI Schedule or any certificate, document or other instrument furnished or to be furnished by Entercom or ECI pursuant to the provisions hereof contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact required to make any statement contained herein or therein not misleading. Neither Entercom or ECI is aware of any impending or contemplated event that would cause any of the representations and warranties made by it in this Article not to be true, correct and complete on the date of such event as if made on that date.

Neither any representation or warranty made by ATC or ATMC contained in this Agreement or any certificate, document or other instrument furnished or to be furnished by ATC or ATMC pursuant to the provisions hereof nor the ATC SEC Documents contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact required to make any statement contained herein or therein, in light of the circumstances under which they were made, not misleading. Since the date of the most recent financial statements constituting a part of the ATC Financial Statements, except to the extent specifically described in the ATC SEC Documents, there has been no change with respect to ATC or any of its Subsidiaries that has had a material adverse effect on ATC. There is no Event known to ATC which has had or (so far as ATC can now reasonably foresee) is likely to have a material adverse effect on ATC, except to the extent specifically described in the ATC SEC Documents. ATC is not aware of any impending or contemplated Event that would cause any of the representations and warranties made by it in this Article not to be true, correct and complete on the date of such Event as if made on that date.

None of the Jacor Parties is aware of any impending or contemplated Event that would cause any of the representations and warranties made by it in this Article not to be true, correct and complete on the date of such Event as if made on that date.
