Material Violation by Business Associate. Terminate this BAA and the Services if Covered Entity determines that Business Associate has violated a material term of this BAA if, following Covered Entity's notification to Business Associate of the material violation, Business Associate is unable or unwilling to take steps to cure the violation within such thirty (30) day period. In the event of such a cure, this BAA shall remain in full force and effect.
