Matters requiring Joint Committee Approval. ‌ The following matters affecting the Company and the Activities shall require Joint Committee Approval before being undertaken, or agreed to be undertaken, by the Company: (a) Significant financial commitments: The entry into any financial commitment exceeding $500,000. (b) Significant asset acquisitions and disposals: The acquisition or disposition of any assets valued in excess of $100,000. (c) Long term contracts: The entry into any agreements involving a term exceeding 3 years.
