Mergers, Consolidation and Dissolution. As set forth in Section 2.2.2.1, any merger or consolidation of the Company where the Company is not the surviving Entity, or any voluntary dissolution of the Company, provided that such merger, consolidation or voluntary dissolution has received the approval of the Board of Managers. In connection with any such merger or consolidation, the Company may implement procedures for appraisal rights for dissenting Members, and if so provided in a merger or consolidation agreement, may contain any provisions reasonably determined by the Board of Managers;
