Common use of Merging Entities Clause in Contracts

Merging Entities. If GRANTEE merges with an organization that is currently receiving grant funds for the same purpose, directly from the OAG, (an “eligible organization”) and the merger is completed during the current contract term, the standing organization may seek reimbursement for the remaining OAG funding of the dissolving organization in addition to the standing organization’s current funding. If GRANTEE merges with or is absorbed by an organization that is not an eligible organization, GRANTEE’s contract will terminate upon the effective date of the merger transaction, and the standing organization may not seek the funding of the dissolving organization for the current grant period.
