Method of Giving Consent. Any consent of a member required by this Agreement may be given by a written consent.

(b) By the affirmative vote by the consenting Member to the doing of the act or thing for which the Consent is solicited at any meeting called and held pursuant to Section 11.02 to consider the doing of such act or thing.
