Common use of Method of Giving Consent Clause in Contracts

Method of Giving Consent. Any Consent of Members required by this Agreement may be given as follows: (a) By a written Consent given by the consenting Member for which the Consent is solicited, provided that such Consent shall not have been nullified by either (i) Notification to the Company by the consenting Member at or prior to the time of, or the negative vote by such consenting Member at, any meeting held to consider the doing of such act or thing, or (ii) Notification to the Company by the consenting Member prior to the doing of any act or thing the doing of which is not subject to approval at such meeting; or (b) By the affirmative vote by the consenting Member to the doing of the act or thing for which the Consent is solicited at any meeting called and held pursuant to Section 11.02 to consider the doing of such act or thing.

Method of Giving Consent. Any Consent of Members consent required by this Agreement may be given as follows: : (a) By by a written Consent consent pursuant to Section 14.06 given by the consenting Member Partner at or prior to the doing of the act or thing for which the Consent consent is solicited, provided that such Consent consent shall not have been nullified by either (i) Notification notification to the Company Managing General Partners by the consenting Member Partner at or prior to the time of, or the negative vote by such consenting Member Partner at, any meeting held to consider the doing of such act or thing, thing or (ii) Notification notification to the Company by the consenting Member Managing General Partners prior to the doing of any act or thing the doing of which is not subject to approval at such a meeting; or or (b) By by the affirmative vote by the consenting Member Partner to the doing of the act or thing for which the Consent consent is solicited at any meeting called and held pursuant to Section 11.02 Sections 14.04 or 14.05 to consider the doing of such act or thing.

Any Consent of Members required by this Agreement may be given as follows: (a) By by a written Consent given by the consenting Member Partner at or prior to the doing of the act or thing for which the Consent is solicited, provided that such Consent shall not have been nullified by either (i) Notification notice to the Company General Partner by the consenting Member Consenting Partner at or prior to the time of, or the negative vote by such consenting Member Consenting Partner at, any meeting held to consider the doing of such act or thing, or (ii) Notification notice to the Company General Partner by the consenting Member Consenting Partner prior to the doing of any act or thing thing, the doing of which is has not been made the subject to of an approval at such a meeting; or (b) By by the affirmative vote by the consenting Member Consenting Partner to the doing of the act or thing for which the Consent is solicited at any meeting called and held pursuant to Section 11.02 to consider the doing of such act or thing.

Any Consent of Members consent required by this Agreement may be given as follows: (a) By by a written Consent consent or proxy given by the consenting Member at or prior to the doing of the act or thing for which the Consent consent or proxy is solicited, provided that such Consent consent shall not have been nullified by either (i) Notification written notification to the Company Manager by the consenting Member at or prior to the time of, or the negative vote by such consenting Member at, any meeting held to consider the doing of such act or thing, or (ii) Notification written notification to the Company Manager by the consenting Member prior to the doing of any act or thing thing, the doing of which is not subject to approval at such meeting; or (b) By by the affirmative vote by the consenting Member to the doing of the act or thing for which the Consent consent is solicited at any meeting called and held pursuant to Section 11.02 12.5 hereof to consider the doing of such act or thing.

Any Consent of Members consent required by this Agreement may be given as follows: : (a) By by a written Consent consent pursuant to Section 14.06 given by the consenting Member Partner at or prior to the doing of the act or thing for which the Consent consent is solicited, provided that such Consent consent shall not have been nullified by either (i) Notification notification to the Company Managing General Partners by the consenting Member Partner at or prior to the time of, or the negative vote by such consenting Member Partner at, any meeting held to consider the doing of such act or thing, thing or (ii) Notification notification to the Company by the consenting Member General Partner prior to the doing of any act or thing the doing of which is not subject to approval at such meeting; or or (b) By by the affirmative vote by the consenting Member Partner to the doing of the act or thing for which the Consent consent is solicited at any meeting called and held pursuant to Section 11.02 Sections 14.04 or 14.05 to consider the doing of such act or thing.
