Common use of Method of Giving Consent Clause in Contracts

Method of Giving Consent. Any Consent of a Unit Holder required by this Agreement may be given by a Unit Holder as follows: (i) at a meeting, in person, by a written proxy or signed writing directing the manner in which it desires that its vote be cast, which writing must be received by the General Partner prior to such meeting, or (ii) without a meeting, by a signed writing directing the manner in which it desires that its vote be cast, which writing must be received by the Depositary prior to the date upon which the vote of Unit Holders are to be counted. Any Partner or Unit Holder may waive notice of or attendance at any meeting of the Unit Holders and Partners and may execute a signed written consent. Only the votes of Unit Holders of record on the date set by the General Partner (which date shall be not less than 10 days and not more than 60 days prior to the date set for the meeting or consent) whether at a meeting or otherwise, shall be counted. The laws of the State pertaining to the validity and use of corporate proxies shall govern the validity and use of proxies given by Unit Holders.
