Minimum amount of Claims. The Seller is not liable for, and the Buyer may not make any Claim in respect of, a breach of a Seller Warranty (other than the Title and Capacity Warranties, Importing Warranty, Import GST Warranty and the Locked Box Warranties): (a) unless the amount of the Claim is more than US$200,000 in respect of a particular matter or in respect of a number of similar or related matters taken together; and (b) until the aggregate amount of all Claims made in accordance with this document exceeds US$2,000,000, but once the amount of the Claims exceed US$2,000,000 in aggregate then the Buyer may claim for all of the loss or Liability suffered.

Minimum amount of Claims. (a) The Sellers are not liable for any Claim for a breach of a Seller Warranty or under the indemnity in clause 8.1(a)(iii) (other than in connection with a Tax Warranty or Excluded Warranty) unless and until: (i) the amount finally agreed or determined to be payable in respect of a Claim exceeds $500,000 (each such Claim, a Permitted Warranty Claim); and (ii) the aggregate amount of all such Permitted Warranty Claims exceeds $5,000,000, in which event the Sellers are liable for the full amount of all Claims and not just the amount in excess of $5,000,000 and the de minimis in clause 8.9(a) will be reduced to $250,000 for any further Claims it applies to under this clause 8.9. (b) For the purposes of clause 8.9(a)(i), Claims of the same or similar nature arising out of the same or similar facts, matters and circumstances will be treated as one Claim.
Minimum amount of Claims. The Seller is not liable for any Claim unless: (a) the amount finally agreed or determined to be payable in respect of that Claim or a series of related Claims exceeds US$1,000,000 (each such Claim, a Permitted Claim); and (b) the aggregate amount of all such Permitted Claims against the Seller exceeds US$5,000,000, page | 28 in which event the Seller is liable for the full amount of the Permitted Claims, and not just the amount in excess of US$1,000,000 or US$5,000,000 (as applicable).

  • Minimum Amounts (A) in the case of an assignment of the entire remaining amount of the assigning Lender’s Commitment and the Loans at the time owing to it or in the case of an assignment to a Lender, an Affiliate of a Lender or an Approved Fund, no minimum amount need be assigned; and (B) in any case not described in subsection (b)(i)(A) of this Section, the aggregate amount of the Commitment (which for this purpose includes Loans outstanding thereunder) or, if the Commitment is not then in effect, the principal outstanding balance of the Loans of the assigning Lender subject to each such assignment, determined as of the date the Assignment and Assumption with respect to such assignment is delivered to the Administrative Agent or, if “Trade Date” is specified in the Assignment and Assumption, as of the Trade Date, shall not be less than $5,000,000 unless each of the Administrative Agent and, so long as no Event of Default has occurred and is continuing, the Borrower otherwise consents (each such consent not to be unreasonably withheld or delayed); provided, however, that concurrent assignments to members of an Assignee Group and concurrent assignments from members of an Assignee Group to a single Eligible Assignee (or to an Eligible Assignee and members of its Assignee Group) will be treated as a single assignment for purposes of determining whether such minimum amount has been met.
