ProCare is not in default under or in violation of any provision of its Articles of Incorporation or its Bylaws.

True, correct and complete copies of such minute books and stock records (which include a complete and accurate copy of the Articles of Incorporation and Bylaws and all amendments to both) of ProMed Pomona has previously been delivered to Group. ProMed Pomona is not in default under or in violation of any provision of its Articles of Incorporation or its Bylaws.

Northwest is not in default under or in violation of any provision of its Articles of Incorporation or its Bylaws.

True, correct and complete copies of such minute books and stock records (which include a complete and accurate copy of the Articles of Incorporation and Bylaws and all amendments to both) of ProMed Company and ProMed Subsidiary have previously been delivered to Holdings. Neither ProMed Company nor ProMed Subsidiary is in default under or in violation of any provision of its Articles of Incorporation or its Bylaws.
