Modifications and Extensions. You may not make modifications or extensions to the SAP Software without SAP’s prior written consent. You expressly agree that any modifications and extensions of the SAP Software shall become part of the SAP Software and will be the property of SAP SE and that You will not grant, either expressly or by implication, any rights, title, interest or licenses to the modifications or extensions to any third party. In the event SAP provides prior written consent to You to make modifications or extensions to the SAP Software, You shall provide complete source code for all modifications and extensions to SAP. You agree that any such modifications or extensions will not modify any provided third party software hereunder unless expressly authorized in writing by such third party vendor and SAP.
Modifications and Extensions. Mortgagor and State Farm may agree to (a) extend the time for payment of all or any part of the Indebtedness; (b) reduce, rearrange or otherwise modify the terms of payment thereof; (c) accept a renewal note or notes therefor; and (d) otherwise deal with the Secured Property or the Loan Documents, all without notice to or the consent of any junior lienholder or any other Person having an interest in the Secured Property and/or Collateral subordinate to the lien of this Mortgage and without the consent of Mortgagor if Mortgagor has then parted with title to the Secured Property and/or Collateral. No such extension, reduction, modification, renewal or dealing shall affect the priority of this Mortgage or release any liability of Mortgagor or any other Person or impair the security hereof in any manner whatsoever.
Modifications and Extensions. (a) Licensee and at Licensee's direction, its authorized Affiliates and Outsourcers may make Modifications and Extensions to the Software developed by or for SAP and/or SAP AG other than third party software, for Use on the Designated Unit(s) under the terms set forth in this section. Licensee shall register all Modifications to the Software with SAP prior to making such Modifications through the SAPNet R/3 Frontend [formerly known as On-line Software Services (OSS)]. Licensee agrees to insert in all copies of the Software as modified all copyright, trade secret, or other notices thereon or therein as SAP may from time to time direct.
(b) In the event Licensee without SAP's participation develops any Modification or Extension (hereinafter referred to as "Licensee Extension" or "Licensee Modification") to the Software, Licensee shall have all rights, title, and interest in such Licensee Modification or Licensee Extension subject to SAP's rights in the Software. Such Licensee Extension or Licensee Modification shall be Licensee's Proprietary Information subject to SAP's rights in the Software. Licensee agrees to offer SAP the first right to negotiate a license to or assignment of such Licensee Modification or Licensee Extension and the parties agree to negotiate such rights in good faith. Should Licensee desire to initiate such negotiation, Licensee shall provide to SAP all documentation and material pertaining to such Licensee Modification or Licensee Extension necessary to permit SAP to determine if it desires to exercise its right to negotiate. SAP shall advise Licensee of its decision within 120 days after receipt of all such information. In the event SAP declines or fails to exercise its right to negotiate, within the 120 day period, Licensee shall be free to enter into an agreement with a third party on terms no more favorable than those offered to SAP. Licensee agrees that prior to SAP's waiver of its first right to negotiate, such Licensee Modification or Licensee Extension will be used solely in connection with Licensee and its Affiliates' business operations, and that such Licensee Modification or Licensee Extension will not be marketed, licensed or sublicensed, sold, assigned, or otherwise transferred or made available to any third party or other entity except as expressly permitted in this Agreement, including Section 2 and Section 10 of this Agreement .

AP, under the terms of this Agreement, expressly warrants and represents on its behalf, and on behalf of its agents and employees, that no Modifications or Extensions for the licensed Software will be performed without providing prior written notice to SAP. All Modifications and Extensions to the Software owned by SAP shall be considered part of the Software for purposes of this Agreement.
Modifications and Extensions of approval of the vehicle type or of the installation of its lighting and light-signalling devices
7.1. Every modification of the vehicle type, or of the installation of its lighting or light-signalling devices, or of the list referred to in paragraph 3.2.2. above, shall be notified to the Type Approval Authority which approved that vehicle type. The Authority may then either:
7.1.1. Consider that the modifications made are unlikely to have an appreciable adverse effect and that in any case the vehicle still meets the requirements; or
7.1.2. Require a further test report from the Technical Services responsible for conducting the tests.
7.2. Confirmation of extension or refusal of approval, specifying the alteration, shall be communicated by the procedure specified in paragraph 4.3. above to the Parties to the Agreement applying this Regulation.
7.3. The Type Approval Authority issuing the extension of approval shall assign a series number for such an extension and inform thereof the other Parties to the 1958 Agreement applying this Regulation by means of a communication form conforming to the model in Annex 1 to this Regulation.

The undersigned hereby consents that from time to time, before or after any default by Company, with notice to or assent from the undersigned, any security at any time held by or available to Xxxxxx Capital for any obligation of Company for all or any portion of the Obligations, may be exchanged, surrendered or released and any obligation of Company, may be changed, altered, renewed, extended, continued, surrendered, compromised, waived or released in whole or in part, or any default with respect thereto waived, and may extend further credit in any manner whatsoever to Company, and generally deal with Company or any such security as Xxxxxx Capital may see fit; and the undersigned shall remain bound under this Guaranty notwithstanding any such exchange, surrender, release, change, alteration, renewal, extension, continuance, compromise, waiver, inaction, extension of further credit or other dealings.

No such extension, reduction, modification or renewal or dealing shall affect the priority of this Deed of Trust, or release any liability of Grantor or any other person or entity, or impair the security hereof in any manner whatsoever.

CCAi expressly agrees that any Modifications and Extensions of the Software developed by SAP, CCAi, their employees, agents or consultants shall become part of the Software and will be the property of SAP AG and that CCAi will not grant, either expressly or by implication, any rights, title, interest or licenses to the Modifications or Extensions to any third party. CCAi shall provide complete source code for all Modifications and Extensions to SAP. CCAi agrees that it will not modify any provided Third Party Software hereunder unless expressly authorized in writing by such Third Party Vendor.
Modifications and Extensions. This Note may not be changed orally, but only by an agreement in writing, signed by the party against whom enforcement of any waiver, change, modification or discharge is sought.
