Common use of Monetary Judgments Clause in Contracts

Monetary Judgments. One or more final (non-interlocutory) judgments, orders, decrees or arbitration awards is entered against the Company or any of its Restricted Subsidiaries involving in the aggregate a liability (to the extent not covered by independent third-party insurance as to which the insurer does not dispute coverage) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected to have a Material Adverse Effect, and the same shall remain unsatisfied, unvacated and unstayed pending appeal for a period of 30 days after the entry thereof; or

Monetary Judgments. One or more final (non-interlocutory) judgments, orders, orders or decrees or arbitration awards is shall be entered against any of the Company or Company, any of its Restricted Subsidiaries or any other Credit Party, involving in the aggregate a liability (to the extent not fully covered by independent third-party insurance as to and for which the relevant insurer does not dispute coveragehas acknowledged liability) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected to have a Material Adverse Effectof $35,000,000 or more, and the same shall remain unsatisfied, unvacated and unstayed pending appeal for a period of 30 days after the entry thereofthereof or such later time as may be provided for the filing of an appeal; or

Monetary Judgments. One or more final (non-interlocutory) judgments, final orders, decrees or arbitration awards is entered against the Company or any of its Restricted Subsidiaries Specified Subsidiary involving in the aggregate a liability (to the extent not covered by independent third-party insurance as to which the insurer does not dispute coverage) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected of $30,000,000 or more (determined after allowance for the application of any insurance proceeds to have a Material Adverse Effectsuch judgment or order), and the same shall remain unsatisfied, unvacated and unstayed pending appeal for a period of 30 days after the entry thereof; or.

Monetary Judgments. One or more final (non-interlocutory) interlocutory judgments, non-interlocutory orders, decrees or arbitration awards is entered against the Company or any of its Restricted Subsidiaries Subsidiary involving in the aggregate a liability (to the extent not covered by independent third-party insurance as to which the insurer does not dispute deny coverage) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected to have a Material Adverse Effectof $10,000,000 or more, and the same shall remain unsatisfied, unvacated and or unstayed pending appeal for a period of the longer of (i) 30 days after the entry thereof; orthereof or (ii) the expiration of the applicable period for filing notice of an appeal;

Monetary Judgments. One or more final (non-interlocutory) interlocutory judgments, non-interlocutory orders, decrees or arbitration awards is entered against the Company or any of its Restricted Subsidiaries Subsidiary involving in the aggregate a liability (to the extent not covered by independent third-party insurance as to which the insurer does not dispute coverage) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected in an aggregate amount equal to have a Material Adverse Effect5% or more of the Company's Consolidated Net Worth, and the same shall remain unsatisfied, unvacated and unstayed pending appeal for a period of 30 days after the entry thereof; or

Monetary Judgments. One or more final (non-interlocutory) judgments, final orders, decrees or arbitration awards is entered against the Company or any of its Restricted Subsidiaries Specified Subsidiary involving in the aggregate a liability (to the extent not covered by independent third-party insurance as to which the insurer does not dispute coverage) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected of $50,000,000 or more (determined after allowance for the application of any insurance proceeds to have a Material Adverse Effectsuch judgment or order), and the same shall remain unsatisfied, unvacated and unstayed pending appeal for a period of 30 days after the entry thereof; or.

Monetary Judgments. One or more final (non-interlocutory) judgments, orders, orders or decrees or arbitration awards is shall be entered against the Company or any of its Material Restricted Subsidiaries involving in the aggregate a liability (to the extent not covered by independent thirdinsurance, including insurance through a related captive insurance company, but excluding self-party insurance as to which the insurer does not dispute coverageinsurance) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected to have a Material Adverse Effectof $250,000 or more, and the same shall remain unsatisfied, unvacated and unstayed pending appeal for a period of 30 days after the entry thereof; or

Monetary Judgments. One or more final (non-interlocutory) judgments, orders, orders or decrees or arbitration awards is shall be entered against any of the Company or any of its Restricted Subsidiaries or any other Credit Party, involving in the aggregate a liability (to the extent not fully covered by independent third-party insurance as to and for which the relevant insurer does has not dispute coveragedenied liability) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected to have a Material Adverse Effectof $100,000,000 or more, and the same shall remain unsatisfied, unvacated and unstayed pending appeal for a period of 30 days after the entry thereofthereof or such later time as may be provided for the filing of an appeal; or

Monetary Judgments. One or more final (judgments, non-interlocutory) judgments, interlocutory orders, decrees or arbitration awards is shall be entered against any one or more of the Company or any of and its Restricted Subsidiaries involving in the aggregate a liability of $1,000,000 or more (excluding amounts covered by insurance to the extent the relevant independent third party insurer has not covered by independent thirddenied coverage therefor and, to the extent stayed, amounts with respect to unsecured non-party insurance as to which the insurer does not dispute coverage) as to any single or related series of transactions, incidents or conditions, that would reasonably be expected to have a Material Adverse Effectpriority prepetition claims), and the same shall remain unsatisfied, unvacated and unstayed pending appeal for a period of 30 thirty (30) days after the entry thereof; orprovided, however, that this clause (h) shall not apply to the DIP Order;
