i. The State will perform a final project inspection of the Work as a quality control/assurance activity. When all Work has been satisfactorily completed, the State will sign the FHWA Form 1212.
ii. Notwithstanding any consents or approvals given by the State for the Plans, the State shall not be liable or responsible in any manner for the structural design, details or construction of any Work constituting major structures designed by, or that are the responsibility of, Local Agency, as identified in Exhibit E.

Monitoring Obligations. 11.1. The Contractor agrees that the Controller or a third party commissioned by the Controller shall be entitled, during normal operating and business hours and without disrupting operations, to monitor compliance with the regulations on data protection and data security or the contractual agreements, as well as the adequacy of the warranted technical and organisational measures on the Contractor’s business premises, particularly by obtaining information and inspecting the stored data and the data processing programs, as well as by on-site checks and inspections (Art. 28 (3), sentence 2, (h) of the GDPR).
11.2. The Contractor warrants that it will assist with these checks where necessary.
11.3. The Contractor undertakes to provide, on written request and within a reasonable period of time, all information, evidence and inspections required for the performance of a contract review in which the effectiveness of technical and organisational measures is reviewed.
Monitoring Obligations. Each party must use best endeavours to monitor infringement of the Intellectual Property Rights subject to this agreement on a worldwide basis and must notify the other party immediately if it becomes aware of any:
(a) actual or threatened infringement of the Intellectual Property Rights;
(b) an allegation of claim (written or otherwise) that the use of the Intellectual Property Rights by Licensor, Licensee or any End User infringes any third party rights.

PHC shall promptly advise the President and Chief Executive Officer of County of; (1) the issuance of any legal complaint by an enforcement agency, or of any enforcement proceedings by any federal, state or local agency for alleged violations of federal, state or local rules, regulations or laws; and/or (2) the issuance of citations, court findings or administrative findings for violations of applicable federal, state or local rules, regulations or laws relating to PHC’s licensure as a health care service plan.

The Strategic Partner shall be obligated to ensure that during Operations Phase I the Services contemplated during this Phase, including but not limited to selective breeding and field trials for growout shall be monitored by personnel deployed by the Strategic Partner at the Site, such that the Services provided are in compliance with the terms of this Agreement including the Scope of Services set forth in Schedule A.

b. The Processor shall organise its business and operations in such a way that the data which it processes on behalf of the Controller is always secured to the necessary extent and protected from unauthorised access by third parties.
c. The Processor confirms that it has designated a data protection officer in accordance with Art. 37 GDPR and, if applicable, in accordance with Sect. 38 BDSG, and that it shall monitor compliance with the provisions on data protection and data security, which includes involving the data protection officer.
