Mutual Representation. Furthermore, Catalent and Client both represent, warrant and undertake that no transactions or dealings under this Agreement shall be conducted with or for an individual or entity that is designated as the target of any sanctions, restrictions or embargoes administered by the United Nations, European Union, United Kingdom, or the United States.
Mutual Representation. Each party hereto represents to the other parties hereto that:
(a) the execution, performance and delivery of this Agreement has been duly authorized by such party;
(b) this Agreement has been duly executed and delivered by such party; and
(c) this Agreement constitutes the legal and valid obligations of such party.
Mutual Representation. Each party represents and warrants to the other party that it is duly organized and validly existing under the laws of the state of its incorporation and has full corporate power and authority, and is duly authorized, to enter into the Agreement and to carry out the provisions thereof.

Mutual Representation. Each Party represents that it knows of no fact and has no plan or intention to take any action that it knows or reasonably should expect is inconsistent with the qualification of the Transactions for their Intended Tax Treatment.
Mutual Representation. The Borough and the Redeveloper agree that the Project Area and the Project Improvements shall be governed by this Agreement and the Redevelopment Plan.

(b) this Agreement has been duly executed and delivered by such party; and
(c) this Agreement constitutes the legal and valid obligation of such party.

Mutual Representation. Transferor and Transferee represents to the other that it has had no dealings, negotiations or consultations with any broker, representative, employee, agent or other intermediary in connection with the Agreement or the sale of the Property.

Each party represents and warrants to the other party that it has full power and authority to enter into this Agreement, this Agreement constitutes such party's valid and legally binding obligation, enforceable against such party and the execution, delivery and performance of this Agreement does not and shall not contravene or constitute a default under, and is not and shall not be inconsistent with, any judgment, decree or order, or any contract, agreement or other undertaking, applicable to such party.
