Acquiror is in compliance in all material respects with the rules of Nasdaq and there is no Action or proceeding pending or, to the knowledge of Acquiror, threatened against Acquiror by Nasdaq or the SEC with respect to any intention by such entity to deregister the Acquiror Common Stock, the Acquiror Public Warrants, the Acquiror Rights or the Acquiror Units or terminate the listing thereof on Nasdaq. Acquiror is in compliance in all material respects with the rules of Nasdaq and there is no Action or proceeding pending or, to the knowledge of Acquiror, threatened against Acquiror by Nasdaq or the SEC with respect to any intention by such entity to deregister the Acquiror Class A Ordinary Shares or terminate the listing of Acquiror Class A Ordinary Shares on Nasdaq. None of Acquiror nor any of its Affiliates or Representatives has taken any action to terminate the registration of the Acquiror Class A Ordinary Shares under the Exchange Act except as contemplated by this Agreement or any other Transaction Document.

HCM is, and since January 25, 2022, has been, in compliance with the rules of Nasdaq and there is no Action or proceeding pending or, to the knowledge of HCM, threatened against HCM by Nasdaq or the SEC with respect to any intention by such entity to deregister the HCM Class A Ordinary Shares or HCM Ordinary Warrants or terminate the listing of HCM Class A Ordinary Shares or HCM Ordinary Warrants on Nasdaq.
