Newmark Charter and Bylaws. At or prior to the IPO Closing Date, BGC Partners and Newmark shall each take all actions that may be required to provide for the adoption by Newmark of the Amended and Restated Certificate of Incorporation of Newmark substantially in the form attached hereto as Exhibit G (the “Newmark Charter”) and the Amended and Restated Bylaws of Newmark substantially in the form attached hereto as Exhibit H.
