Common use of No Breach Caused by this Agreement Clause in Contracts

No Breach Caused by this Agreement. The execution, delivery and performance by BSI of its obligations under this Agreement and the Ancillary Documents and the consummation of the transactions contemplated hereby do not and will not (i) contravene, conflict with or result in a violation or breach of any provision of any applicable Laws or any license, approval, consent or authorization held by BSI, (ii) require any notice or consent or other action by any Person under, contravene, conflict with, violate, breach or constitute a default or an event that, with or without notice or lapse of time or both, would constitute a default, under, or cause or permit the termination, cancellation, acceleration or other change of any right or obligation or the loss of any benefit to which BSI is entitled under, or give rise to any rights of first refusal or trigger any change in control provisions or any restriction under, any provision of any Material Contract or other instrument binding upon BSI or affecting any of its assets, or (iii) result in the creation or imposition of any Lien on any asset of BSI, with such exceptions, in the case of each of clauses (ii) and (iii), as do not have or would not have, or be reasonably expected to have, individually or in the aggregate, a material adverse effect.

The Purchaser has complied with all licenses, franchises, leases, permits, approvals and agreements to which the Purchaser is a party or by which the Purchaser is bound, the breach of which would reasonably have a Material Adverse Effect on the Purchaser.
