Prior to the Effective Time, no change will be made in the authorized, issued or outstanding capital stock of PRCO, and no subscriptions, options, rights, warrants, calls, commitments or agreements relating to the authorized, issued or outstanding capital stock of PRCO will be entered into, issued, granted or created.
