No Changes in Fiscal Year. The Fiscal Year of the Borrower and its Subsidiaries ends on the dates specified in the definition of Fiscal Year; and the Borrower shall not, nor shall it permit any Subsidiary to, change its Fiscal Year from its present basis, in each case, without the consent of the Required Lenders, which consent shall not be unreasonably withheld but may be conditioned upon an amendment hereto which conforms the financial covenants to such periods.
