Each Receivable, the Seller Related Security and the Collections with respect thereto have been or will be transferred to the Purchaser free and clear of any Lien or interest of any other Person (other than Permitted Liens and disputes with Obligors in the ordinary course of business or in connection with an Insolvency Event of the related Obligor) not holding through the Trust.
