No Conflict with Agreement. No employee shall be required or permitted to make a written or verbal agreement with the Employer or Employer's representatives which conflicts with the terms of this Agreement.
No Conflict with Agreement. Each Shareholder shall vote its -------------------------- shares of Voting Stock of the Company, and shall take all actions necessary, to ensure that the Certificate of Incorporation and By-Laws do not, at any time, conflict with the provisions of this Agreement.

No Conflict with Agreement. Each Party agrees not to engage in any action that is in violation or inconsistent with the terms and conditions of this Agreement or that interferes with the consummation of the transactions contemplated under this Agreement.

In the event of any conflict between this Agreement and the Certificate of Incorporation or the By-Laws, the provisions of this Agreement shall govern and the Company and the Stockholders shall take action as is required to ensure that the Certificate of Incorporation and the By-Laws do not conflict with this Agreement.
No Conflict with Agreement. The Employer agrees not to enter into any agreement or contract with its employees (who are in the classifications herein noted), either individually or collectively, which conflicts with any of the provisions of this Agreement.
No Conflict with Agreement. The Stockholders shall vote their shares of Company Stock and take all other actions necessary, to ensure that the organizational documents of the Company, and any future amendments thereto, do not, at any time, conflict with the provisions of this Agreement (except to the extent required by applicable law).
No Conflict with Agreement. This Xxxx of Sale and Assignment is intended to evidence the consummation of the transactions contemplated by the Agreement. This Xxxx of Sale and Assignment is in all respects subject to the provisions of the Agreement and is not intended in any way to supersede, limit or qualify any provision of the Agreement. If there is any conflict between this Xxxx of Sale and Assignment and the Agreement, the provisions of the Agreement shall control.
No Conflict with Agreement. This Assignment and Assumption is intended to evidence the consummation of the transactions contemplated by the Agreement. This Assignment and Assumption is in all respects subject to the provisions of the Agreement and is not intended in any way to supersede, limit or qualify any provision of the Agreement. If there is any conflict between this Assignment and Assumption and the Agreement, the provisions of the Agreement shall control.
