No Contrary Judgment. On the Closing Date there shall exist no valid judicial order which prohibits the consummation of the transactions contemplated by this Agreement.
No Contrary Judgment. The Closing shall not violate any order, decree or judgment of any court or Governmental Body having competent jurisdiction and no claim, action, suit, proceeding or investigation shall have been commenced or threatened which questions the validity of this Agreement or any action taken, or to be taken, to consummate the transactions contemplated hereby.

The Completion shall not violate any order, decree or judgment of any court or governmental body having competent jurisdiction and no claim, action, suit, proceeding or investigation shall have been commenced, be pending or threatened which questions the validity of this Agreement or of any action taken or to be taken to consummate the transaction contemplated hereby or which is likely to materially and adversely affect the value of the Company, the Affiliates or the Purchased Shares.

The Consideration Shares transactions shall not violate any order, deed of judgment, of any court or governmental body having competent jurisdiction and no claim, action, suit, proceeding of investigation shall have been commenced, be pending or threatened which questions the validity of this Agreement or of any action taken or to be taken to consummate the transactions contemplated hereby.
No Contrary Judgment. The Closing shall not violate any Permit or order, decree or judgment of any court or governmental body having competent jurisdiction and there shall not have been instituted any legal or administrative action or proceeding to enjoin the transaction contemplated hereby or seeking damages from FEVI with respect thereto.
