Common use of No Contribution From the Company, Etc Clause in Contracts

No Contribution From the Company, Etc. Notwithstanding anything in this Agreement to the contrary: (a) each of Parent and the Member acknowledges and agrees that it does not have any right of indemnification, contribution or reimbursement from or remedy against the Company as a result of any indemnification it is required to make under or arising out of the breach or inaccuracy of any representation, warranty, covenant or other obligation contained in this Agreement or in any certificate, document or other instrument delivered in connection herewith (including any such breach or inaccuracy of a representation, warranty, covenant or other obligation of the Company); and (b) each of Parent and the Member hereby releases, waives and forever discharges any right to indemnification, contribution or reimbursement that it may have at any time against the Company under or arising out of the breach or inaccuracy of any representation, warranty, covenant or other obligation in this Agreement or in any certificate, document or other instrument delivered in connection herewith.

Notwithstanding anything in this Agreement to the contrary: (a) each of Parent and the Member Stockholder acknowledges and agrees that he, she or it does not have any right of indemnification, contribution or reimbursement from or remedy against the Company or its Subsidiaries as a result of any indemnification he, she or it is required to make under or arising out of the breach or inaccuracy of any representation, warranty, covenant or other obligation contained in this Agreement or in any certificate, document or other instrument delivered in connection herewith (including including, without limitation, any such breach or inaccuracy of a representation, warranty, covenant or other obligation of the Company); and (b) each of Parent and the Member Stockholder hereby releases, waives and forever discharges any right to indemnification, contribution or reimbursement that it he or she may have at any time against the Company or its Subsidiaries under or arising out of the breach or inaccuracy of any representation, warranty, covenant or other obligation in this Agreement or in any certificate, document or other instrument delivered in connection herewith.
