In the past five (5) years, no key personnel of Company has been convicted of any crime that is punishable as a felony under the laws of the Commonwealth of Virginia, or the equivalent thereof under the laws of any other jurisdiction, or has been adjudged by an administrative agency or a court of competent jurisdiction to have committed a material violation of any Environmental Laws of the United States, the Commonwealth of Virginia, or any other state.

The Applicant represents and warrants to the Club that the Applicant has never been convicted of, nor entered a plea of guilty or nolo contendere with respect to, (i) a felony under applicable federal or state law or (ii) a lesser crime than a felony that involved an act of moral turpitude or dishonesty by the Applicant.

Since the Lookback Date, no exclusion, suspension, or debarment claims, Actions or Proceedings, audits or investigations relating to the Company is pending or, to Seller’s Knowledge, threatened against the Company, nor to Seller’s Knowledge, are there any exclusion, suspension or debarment claims, actions, proceedings, audits or investigations pending against the Company’s or the Company’s officers, directors, managers, members, employees or agents or, to the Seller’s Knowledge, threatened against the Company’s officers, directors, managers, members, employees or agents.
