The Applicant represents and warrants to the Club that the Applicant has never been convicted of, nor entered a plea of guilty or nolo contendere with respect to, (i) a felony under applicable federal or state law or (ii) a lesser crime than a felony that involved an act of moral turpitude or dishonesty by the Applicant.

During the past ten (10) years, none of the directors, officers, or management of the Company have been arrested or convicted of any material crime, including any felony (whether material or not), have been indicted, have been bankrupt or an officer or director of a bankrupt company (except for directors designated by venture capital investors), nor have any of them been restricted in any way from bidding on contracts with the government of the United States.
No Convictions. Neither 4Health nor any officer, director or shareholder of 4Health or any of its subsidiaries, has been convicted of any felony or misdemeanor in connection with the purchase and sale of any security or involving the making of any false filing with the Commission.

In the past five (5) years, no key personnel of Company has been convicted of any crime that is punishable as a felony under the laws of the Commonwealth of Virginia, or the equivalent thereof under the laws of any other jurisdiction, or has been adjudged by an administrative agency or a court of competent jurisdiction to have committed a material violation of any Environmental Laws of the United States, the Commonwealth of Virginia, or any other state.
No Convictions. Neither IN nor any officer, director or shareholder of IN or any of its subsidiaries, has been convicted of any felony or misdemeanor in connection with the purchase and sale of any security or involving the making of any false filing with the Commission.

No In the past five (5) years, no key personnel of Company has been convicted of any of the following crimes, which are crime that is punishable as felonies a felony under the laws of the Commonwealth of Virginia, or the equivalent thereof under the laws of any other jurisdiction: murder; kidnapping; gambling; robbery; bribery; extortion; criminal usury; arson; burglary; theft and related crimes; forgery and fraudulent practices; fraud in the offering, sale, or purchase of securities; alteration of motor vehicle identification numbers; unlawful manufacture, purchase, use or transfer of firearms; unlawful possession or use of destructive devices or explosives; violation of the Drug Control Act, Chapter 34 (§ 54.1-3400 et seq.) of Title 54.1; racketeering; violation of antitrust laws; or has been adjudged by an administrative agency or a court of competent jurisdiction to have violated the environmental protection laws committed a material violation of any Environmental Laws of the United States, the Commonwealth of Virginia , or any other state.
No Convictions. Neither Developer nor any of its members, officers or directors has ever been convicted of commission of a felony or is presently the subject of a complaint or indictment charging commission of a felony.
No Convictions. None of the officers and/or directors of Borrower has ever been convicted of a felony or other crime involving fraud or moral turpitude.
No Convictions. No executive officer or director of the Company or any Subsidiary has been convicted of, or has any action pending pertaining to, a crime involving fraud, embezzlement or theft or any similar crime.
No Convictions. There is no criminal conviction in the past of Purchaser or any of its officers or directors which would impair or bar the Corporation from continuing to hold or acquire alcoholic beverage or other governmental licenses.
