No Default Notices Sample Clauses

No Default Notices. The Shipper has not (i) received any notice from the Carrier that the Shipper is in breach or default under any covenant or obligation under any Assigned Agreement, or (ii) delivered any notice to the Carrier that the Carrier is in breach or default under any covenant or obligation under any Assigned Agreement.

No Default Notices. Except for the payments owing to Westhill Resources Ltd., the Canadian Western Bank and to the operator of the Assets, and as set out in Schedule "A", the Vendor has not received any notice of default under the Regulations or the Leases or any notice alleging its default under any agreement pertaining to the Assets, which default has not been rectified as of the date of this Agreement.

No Default Notices. None of the Watford Entities, Watford Energy or Amalco has received and, to the knowledge of the Vendors, none of its agents or any applicable operator of the PNG Assets have received any notice of default under the Title and Operating Documents or any notice alleging material default under any other agreement pertaining to any of the PNG Assets which default has not been rectified as of the Signing Date.

No Default Notices. Thunder has not received any notice of default under the Leases or any notice alleging its default under any agreement pertaining to any of the Assets, which default has not been rectified as of the date of this Agreement or to the best knowledge of Thunder, there exists no particular circumstance which Thunder reasonably believes will give rise to such a notice;

No Default Notices. Vendor has not received notice of violation of or default under any other obligation, agreement, document, order, writ, injunction or decree of any Government Authority that relates to the Assets and to Vendor’s knowledge, no particular circumstance presently exists which may give rise to any such violation or default and, additionally, to Vendor’s knowledge, there are no such outstanding defaults or notices of default in relation to any Third Party;

No Default Notices. Except as described in Part 5 of Schedule C, the Corporation and the Subsidiaries have not received from any Third Party notice of violation of or default under any other obligation, agreement, document, order, writ, injunction or decree of any Government Authority that relates to the Assets and to Sellers’ knowledge, no particular circumstance presently exists which may give rise to any such violation or default and, additionally, to Sellers’ knowledge, there are no such outstanding defaults or notices of default in relation to any Third Party.

No Default Notices. CPEC and its subsidiaries are not in breach or default, have not received any notice of default or violation, and CPEC is not aware of any potential or threatened notice of alleged default or violation, of the provisions of any material contracts, agreements, indentures or instruments to which CPEC or any of its subsidiaries is a party except to the extent any such breach, default or violation would not reasonably be expected to have a material adverse effect on the condition of CPEC and its subsidiaries, taken as a whole (financial or otherwise) or the ability of Purchaser or CPEC to complete the Transaction;

No Default Notices. As of the date hereof, YGC has not received or delivered any written notices of default or any notice alleging any default of any agreement to which YGC or any of its Subsidiaries is a party, which could reasonably be expected to have a Material Adverse Effect on YGC.
