No Derogatory Comments. Except as required by judicial process or governmental rule or regulation, Executive shall refrain from making public or private comments relating to any Newfield Party which are derogatory or which may tend to injure any such party in such party’s business, public or private affairs.

Xxxx acknowledges and agrees that he has no knowledge of any act or omission by any Mitcham Party which would credibly give rise to any derogatory comment and, therefore, agrees to refrain from making public or private comments relating to any Mitcham Party, corporate or individual, which are derogatory or which may tend to injure any such party in its or their business, public or private affairs.

Xxxxxx, which are derogatory or which may tend to injure Xx. Xxxxxx in his business, public or private affairs. Notwithstanding the foregoing, nothing herein shall preclude Xx. Xxxxxx or any Cheniere Entity from complying with judicial process, law or governmental rule or regulation, or the rules and regulations of any stock exchange; or from responding to statements made by the other; provided that no statement by either (i) Cheniere or any of the Cheniere Entities, or any representative of Cheniere or of any of the Cheniere Entities, or (ii) Xx. Xxxxxx, that is made in the course of any legal proceeding in which Cheniere or any Cheniere Entity or Xx. Xxxxxx is a party, shall be deemed to violate any provision of this Agreement.

Following the Effective Date, each of the Xxxxxxx'x Parties and Xxxxxxx shall refrain from making public or private comments relating to any Xxxxxxx'x Party and Xxxxxxx, respectively, which are derogatory or which may tend to injure any such party in its business, public or private affairs.

Harrxxxx xxx the Company shall refrain from making public or private comments relating to each other which are derogatory or which may tend to injure Harrxxxx xx the Company or the employees, officers, directors, agents or affiliates, of the Company in its or their business, public or private affairs, except in connection with legal proceedings in which Harrxxxx xx his successors or assigns are adverse to the Company, its assigns, successors, agents, trustees, directors, officers, general partners, limited partners, subsidiaries, affiliates, or employees.

The Employee agrees that the Employee will not at any time make, publish or communicate to any person or entity or in any public forum any derogatory or defamatory remark, comment or statement concerning OneMain and its Affiliates, their businesses, or any of their employees, officers and directors. This provision, however, does not in any way restrict or impede the Employee from exercising protected rights as described in Paragraph 7(b).

Employee and Chiles shall refrain from making public or private comments relatxxx xx each other which are derogatory or which may intend to injure Employee or Chiles or the employees, officers, directors, agents or affiliatex, xx Chiles in its or their business, public or private affairs. Chilex xxxxl use reasonable efforts to refer any inquiries regardxxx Xxployee's performance during his term of employment with Chiles to a designated representative of Chiles and such representative shall limit all responses to confixxxxx the term of Employee's employment with Chiles and his title while in the employ of Chiles.
