No General Increases. Other than in the ordinary course of its business or in connection with customary and periodic performance reviews and cost of living increases, Seller will not (i) grant any general or uniform increase in the rates of pay of the Employees, nor grant any general or uniform increase in the benefits under any bonus or pension plan or other contract or commitment, or (ii) increase the compensation payable or to become payable to officers, salaried Employees with a base salary in excess of $40,000 per year or agents of the Business or increase any bonus, insurance, pension or other benefit plan, payment or arrangement made to, for or with any such officers, salaried Employees or agents. With respect to the Employees, Seller will not create or adopt any new insurance, pension, welfare or other benefit plan or arrangement.

Except as required by pre-existing contractual obligations, no Selling Entity shall grant any general or uniform increase in the rates of pay of employees of the Business, nor grant any general or uniform increase in the benefits under any bonus or pension plan or other contract or commitment to, for or with any such employees; and no Selling Entity shall increase the compensation payable or to become payable to officers, salaried employees or agents of any Selling Entity or the Business, or increase any bonus, insurance, pension or other benefit plan, payment or arrangement made to, for or with any such officers, key salaried employees or agents of any Selling Entity or the Business.

No General Increases. Without the prior written consent of Purchaser, Seller shall not grant any general or uniform increase in the rates of pay or employees of the Business nor grant any general or uniform increase in the benefits under any bonus or pension plan or other contract or commitment relating to employees of the Business; and except as approved in writing by Purchaser, Seller shall not increase the compensation payable or to become payable to officers or key salaried employees of the Business, or increase any bonus, insurance, pension or other benefit plan, payment or arrangement made to, for or with any of such officers, key salaried employees or agents of the Business.
No General Increases. Except for annual merit increases to non- -- ------- --------- officer employees made consistent with past practice, the Seller shall not permit Xxxx-Star or any of its Subsidiaries to grant any general or uniform increase in the rates of pay of employees of Xxxx-Star and its Subsidiaries, nor grant any general or uniform increase in the benefits under any bonus or pension plan or other contract or commitment to, for or with any such employees; and neither Xxxx-Star nor any of its Subsidiaries shall increase the compensation payable or to become payable to officers, salaried employees or agents, or increase any bonus, insurance, pension or other benefit plan, payment or arrangement made to, for or with any such officers, salaried employees or agents.
No General Increases. The Company and the Shareholders have previously provided PHI with the current annual base salaries of all of the employees of the Company. The Company shall not, and the Shareholders shall not permit the Company to, grant any general or uniform increase in the rates of pay of employees of the Company, nor grant any general or uniform increase in the benefits available under any bonus plan except that the Company may elect to pay a second quarter bonus calculated in accordance with, and not exceeding, the formula set forth on SCHEDULE 5.3 hereto, or pension plan or other contract or commitment to, for or with any such employees; the Company shall not, and the Shareholders shall not permit the Company to, generally increase the compensation payable or to become payable to officers, key salaried employees or agents, or increase any bonus, insurance, pension or other benefit plan, payment or arrangement made to, for or with any such officers, key salaried employees or agents; and the Company shall not make any material changes in its personnel, except to the extent required to replace departing employees or as necessitated by growth of the business.

The Company will not (and will cause each of its Subsidiaries not to) grant any general or uniform increase in the rates of pay of employees of the Company or any Subsidiary, nor grant any general or uniform increase in the benefits under any bonus or pension plan or other employee-related contract or commitment. The Company shall not increase the compensation payable or to become payable to any officer or other salaried employee with a base salary in excess of $50,000 per year or increase any bonus, insurance, pension or other benefit plan, payment or arrangement made to, for or with any such officer or salaried employee.
