Common use of No HMI Infringement Clause in Contracts

No HMI Infringement. There is no pending action or proceeding alleging that the use of the HMI Licensed Technology with respect to the [***] Target or first Ophthalmic Target infringes, misappropriates, or otherwise violates any Intellectual Property Rights of any Third Party, and, to the Knowledge of HMI, there is no pending action or proceeding alleging that the use of the HMI Licensed Technology as otherwise contemplated under this Agreement infringes, misappropriates, or otherwise violates any Intellectual Property Rights of any Third Party.

No HMI Infringement. There is no pending action or proceeding alleging that the use of the HMI Licensed Technology with respect to the [***] SCD Target or first Ophthalmic Target infringes, misappropriates, or otherwise violates any Intellectual Property Rights of any Third Party, and, to the Knowledge of HMI, there is no pending action or proceeding alleging that the use of the HMI Licensed Technology as otherwise contemplated under this Agreement infringes, misappropriates, or otherwise violates any Intellectual Property Rights of any Third Party.
