No Implied License; Negative Covenant. Except as expressly set forth herein, neither Party shall acquire any license, right or other interest, by implication or otherwise, under any intellectual property rights of the other Party. Licensee covenants that it will not, and it will not permit any of its Affiliates and sublicensees to, use or practice any Licensed IP outside the Field or outside the Territory.
