NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There is no any material adverse change in the business, condition, assets, liabilities, operations or financial performance of FDH since the date of this Agreement as determined by SKYC in its discretion. SKYC shall be satisfied in all respects with the results of its due diligence review of FDH.
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of the Underlying Asset since the date of this Agreement as determined by the Purchaser in its discretion. The Purchaser shall be satisfied in all respects with the results of its due diligence review of the or Underlying Asset.
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of Infinity Resources since the date of this Agreement as determined by Tap Resources in its discretion. Tap Resources shall be satisfied in all respects with the results of its due diligence review of Infinity Resources.
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of Powertech since the date of this Agreement as determined by Folkup Development in its discretion. Folkup Development shall be satisfied in all respects with the results of its due diligence review of Powertech
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of GSL Healthcare since the date of this Agreement as determined by Agentix in its discretion. Agentix shall be satisfied in all respects with the results of its due diligence review of GSL Healthcare
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of BTS since the date of this Agreement as determined by CTTG in its discretion. CTTG shall be satisfied in all respects with the results of its due diligence review of BIL and BTS.
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of Trendmark since the date of this Agreement as determined by Evil Empire Designs in its discretion. Evil Empire Designs shall be satisfied in all respects with the results of its due diligence review of Trendmark.
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of SYCI since the date of this Agreement as determined by DSFX in its discretion. DSFX shall be satisfied in all respects with the results of its due diligence review of SYCI.
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of Nemo Holding since the date of this Agreement as determined by Xxxxx in its discretion. Xxxxx shall be satisfied in all respects with the results of its due diligence review of Nemo Holding
NO MATERIAL ADVERSE CHANGE AND SATISFACTORY DUE DILIGENCE. There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of UPE or ZHUO TONG since the date of this Agreement as determined by CHID in ixx xxxxxxtion. CHID shall be satisfied in all respects with the results of its due diligence review of UPE and ZHUO TONG.
