No Modification of Purchase Agreement. Neither the making nor the acceptance of this sale, conveyance, assignment, and transfer shall enlarge, restrict or otherwise modify the terms of the Purchase Agreement or constitute a waiver or release by any party to the Purchase Agreement of any liabilities, duties or obligations imposed thereby.
No Modification of Purchase Agreement. This Assignment is delivered pursuant to the Purchase Agreement and, as between Assignor and Assignee, is subject in all respects to the provisions thereof and is not meant to alter, enlarge or otherwise modify the provisions of the Purchase Agreement.
No Modification of Purchase Agreement. Except as expressly ------------------------------------- provided in this Agreement, the rights and obligations of Buyer and Sellers under this Agreement shall in no way affect their respective rights and obligations under the Purchase Agreement.

No Modification of Purchase Agreement. Notwithstanding anything to the contrary contained herein, this Assignment Agreement shall not amend or modify the terms and conditions of the Purchase Agreement, including any of the parties’ respective representations, warranties and covenants thereunder.
No Modification of Purchase Agreement. This Bxxx of Sale is delivered pursuant to the Purchase Agreement and, as between Seller and Buyer, is subject in all respects to the provisions thereof and is not meant to alter, enlarge or otherwise modify the provisions of the Purchase Agreement.

As between Assignor and Assignee, this Agreement does not enlarge, restrict or otherwise modify the terms of the Purchase Agreement or constitute a waiver or release by Assignor or Assignee of any liabilities, duties or obligations imposed upon them (or any of their respective affiliates) by the terms of the Purchase Agreement, including without limitation the representations, warranties, covenants, agreements, indemnifications and other provisions of the Purchase Agreement. As between Assignor and Assignee, in the event of any conflict or inconsistency between the terms of the Purchase Agreement and the terms hereof, the terms of the Purchase Agreement shall govern.
No Modification of Purchase Agreement. The Transferor will ------------------------------------- not agree to any amendment, supplement, waiver, alteration or other modification of the Purchase Agreement which may have a material adverse effect on the Agent's right, title and interest in the Receivables or which may have a material adverse effect on the collectability of the Receivables.
No Modification of Purchase Agreement. This Agreement is subject to the terms and conditions of the Purchase Agreement. Nothing contained in this Agreement shall be deemed to modify, limit, extend or amend the terms and conditions of the Purchase Agreement in any manner whatsoever. This Agreement does not create or establish liabilities or obligations not otherwise created or existing under or pursuant to the Purchase Agreement with respect to the Assets or the Assumed Liabilities. In the event of any conflict or inconsistency between the terms of this Agreement and the Purchase Agreement, the terms of the Purchase Agreement shall control.
