No person has any agreement, option, understanding or commitment, or any right or privilege (whether by law, pre-emptive or contractual) capable of becoming an agreement, option or commitment, for the purchase including convertible securities, warrants or other acquisition from the Vendor convertible obligations of any Purchased Assetsnature, for: (a) the purchase, subscription, allotment or issuance of, or conversion into, any rights or interest therein, other than in the ordinary course of the Business.unissued
