No Pending Claims. You represent and warrant that you have no charges, lawsuits, or actions pending in your name against any of the Released Parties relating to any claim that has been released in this Agreement. You also represent and warrant that you have not assigned or transferred to any third party any right or claim against any of the Released Parties that you have released in this Agreement.
No Pending Claims. Executive represents and warrants that the Executive does not presently have on file, and further represents and warrants that the Executive will not hereafter file, any claims, grievances or complaints against the Released Parties in or with any court, or before any other tribunal or panel or arbitrators, public or private, based upon any actions and causes of action, suits, debts, dues, accounts, bonds, covenants, contracts, agreements, judgments, charges, claims, and demands whatsoever against any Released Party relating to the Executives employment by the Company or its affiliates, the Executive's termination of employment thereof and the Employment Agreement, except to the extent any such claims arise after the date that the Executive signs this Release.
No Pending Claims. Executive has not filed any claims, charges, suits, or actions of any kind against any of the Released Parties that have not been fully resolved as of the date of the signing of this Resignation and Release of Claims.

The Executive represents and warrants that he has no charges, lawsuits, or actions pending in his name against any of the Released Parties relating to any claim that has been released in this Agreement and General Release. The Executive also represents and warrants that he has not assigned or transferred to any third party any right or claim against any of the Released Parties that he has released in this Agreement and General Release.
No Pending Claims. The Employee represents that the Employee has no Claims on file, lodged, or otherwise currently pending against the Released Parties, and the Employee expressly agrees that this Agreement shall extend and apply to all unknown, unsuspected, and unanticipated injuries and damages that occurred during the Employee’s employment, as well as those that are now disclosed.
No Pending Claims. Employee represents and warrants that Employee does not presently have on file, and further covenants and agrees that, except as otherwise provided in Paragraph 2 or Paragraph 3 of this Agreement, Employee will not hereafter file, any claims, grievances or complaints against any of the Releasees in or with any court, or before any other tribunal or panel of arbitrators, public or private, based upon any actions and causes of action, suits, debts, dues, accounts, bonds, covenants, contracts, agreements, judgments, charges, claims, and demands whatsoever against any of the Releasees relating to the Employee’s employment by the Company or its affiliates, Employee’s termination of employment thereof and the Employment Agreement.
No Pending Claims. There are no pending Proceedings (other than claims for benefits in the ordinary course) by any Governmental Authority or current or former Company Employees against the Company Plans or against the Company or any of its Subsidiaries, nor have there been any such Proceedings since January 1, 2019. Neither the Company nor any Subsidiary is party to a conciliation agreement, consent decree or other agreement or order with any Governmental Authority with respect to employment practices. No Company Plan is, or has been, the subject of an application or filing under, or a participant in, an amnesty, voluntary compliance, self-correction or similar program sponsored by any Governmental Authority. Each Company Plan that is a “group health plan” (as such term is defined in Section 5000(b)(1) of the Code) has been administered and operated in all respects in compliance with the applicable requirements of Section 601, et seq. of ERISA, Section 4980B of the Code, Section 4980D of the Code and the Patient Protection and Affordable Care Act of 2010, as amended (the “ACA”). The Company and its ERISA Affiliates have offered all “full-time employees,” as defined in Code Section 4980H(c)(4)(A) of the Code (and their dependents) the opportunity to enroll in minimum essential coverage which is affordable and provides minimum value. Neither the Company nor any of its ERISA Affiliates has received any Letters 226-J from the IRS notifying them that they may be liable for an employer shared responsibility payment under Section 4980H of the Code.
No Pending Claims. Other than the material, factual, and legal allegations contained in the notices of violation, Eden: (a) is not aware of any complaint, claim or action pending by him, or by any other person or entity, against the Releasees in any federal, state or local court or government agency or before any arbitrator or other tribunal; (b) is not aware of any conduct by any of the Releasees which Xxxx believes violated or currently violates any law, rule, regulation, or public policy; and (c) has no present intention of participating in any claim against the Releasees for the material, factual, or legal allegations contained in the notices of violation.
No Pending Claims. You represent that you have not filed, claimed or caused or permitted to be filed or claimed, any action for legal or equitable relief (including damages, injunctive, declaratory, monetary or other relief) involving any Claim or other matter released in this Agreement. Notwithstanding anything in this Agreement to the contrary, CommerceHub shall have no obligation to make any of the payments specified in Sections 1 and 4 above (if any) if you breach this Agreement in any material respect or file, claim or cause or permit to be filed or claimed, any action for legal or equitable relief (including damages, injunctive, declaratory, monetary or other relief) involving any Claim or other matter released in this Agreement.
No Pending Claims. The Executive represents that, as of the date he signs this Agreement, he has no charges, claims or lawsuits of any kind pending against the Company or any of the Employer Parties that would fall within the scope of the release set forth in Section 9.
