No Pending Lawsuits. Employee represents and warrants that Employee does not have any lawsuits, charges, claims, grievances, or actions of any kind pending against any Company Releasees arising out of or in connection with any Claims released herein, by or on behalf of Employee or on behalf of any other person or entity, and that, to the best of Employee’s knowledge, Employee possess no such claims (including, but not limited to, under the Family and Medical Leave Act, the Age Discrimination in Employment Act, the California Family Rights Act, the Fair Labor Standards Act, the California Labor Code and/or workers’ compensation claims). Employee further acknowledges that he/she is not aware of, or has fully disclosed to the Company, any information that could reasonably give rise to such a claim, cause of action, lawsuit or proceeding against any Company Releasee(s).
No Pending Lawsuits. Employee represents that Employee has no lawsuits, claims, or actions pending in Employee’s name, or on behalf of any other person or entity, against the Company or any of the other Releasees. The Parties represent that neither Party intends to bring any claims on their own behalf or on behalf of any other person or entity against the other Party or, in the case of Employee, against any of the other Releasees.
No Pending Lawsuits. You represent that you are not a complainant or a party in any pending lawsuit, civil action, charge or claim in any court or before any regulatory agency of any kind SEPARATION AGREEMENT AND GENERAL RELEASE OF CLAIMS against Intel or any of its subisidiaries, divisions, affiliated corporations, trustees, directors, officers, shareholders, owners, agents, attorneys, insurers, or employees.
No Pending Lawsuits. Executive represents that Executive has no lawsuits, administrative charges, claims or actions pending in Executive’s name, or on behalf of any other person or entity, against Pandora or any of the other Releasees. Executive agrees that, consistent with applicable laws, and subject to the Permitted Disclosures and Actions provision set forth below, Executive will not knowingly encourage, counsel or assist any attorneys or their clients in the presentation or prosecution of any disputes, grievances, claims, charges or complaints by any third party against any of the Releasees, unless under a subpoena or other court order to do so, or as otherwise required by applicable law or regulation, and Executive will notify Pandora within three (3) business days of receipt of any such subpoena or court order.
No Pending Lawsuits. The parties certify, represent and warrant that they have not filed or initiated any action, complaint, or charge against either party in any federal, state or local court or administrative agency. Notwithstanding the foregoing, this release of claims includes, but is not limited to, any and all claims and causes of action set forth in any lawsuit, complaint or administrative charge pending in any federal, state or local court or administrative agency, and includes all other claims arising out of Employee’s employment or separation from employment with Employer up to and including the Effective Date of this Agreement, whether known or unknown by either party at the time of execution of this Agreement.
No Pending Lawsuits. As of the date of this Agreement, there are no lawsuits, investigations, claims or proceedings pending or threatened against Seller which have had or may have any effect on Seller’s rights and title to the Shares or the ability of Seller to transfer the Shares in the manner contemplated by this Agreement. Seller does hereby agree to, and shall immediately upon demand, indemnify and hold harmless the Purchaser from, against and in respect of any and all losses, damages, liabilities, penalties, interest, costs, expenses or other deficiencies, including, without limitation, attorneys’ fees and costs, suffered or incurred by Purchaser by reason of, or arising out of any misrepresentation, breach of representation or warranty or non-fulfillment of any agreement, covenant or representation on the part of Seller under this Agreement. The right to indemnification, payment of damages or other remedy based on the foregoing will not be affected by any investigation conducted with respect to, or any knowledge acquired (or capable of being acquired) after the execution and delivery of this Agreement or the Effective Date, with respect to the accuracy or inaccuracy of, or compliance with, any representation, warranty, covenant or obligation of Seller.
No Pending Lawsuits. Employee represents that Employee has not filed any lawsuits against BBSI or any of the other Released Parties. Except as otherwise permitted under paragraphs 7 and 9, Employee promises and agrees that Employee will not do so at any time in the future with respect to any Claims which arose on or before the Effective Date of this Agreement.
No Pending Lawsuits. Except for the Dispute, each of the Parties represents that it has no lawsuits, claims, complaints or actions pending in its name, or on behalf of any other person or entity, against any of the other Parties or any of the other Parties’ parent or subsidiary corporations, in any court, whether federal or in any state, or before any government agency or entity.
No Pending Lawsuits. Executive represents that he has no lawsuits, claims, or actions pending in his name, or on behalf of any other person or entity, against the Company or any other person or entity referred to herein. Executive also represents that he does not intend to bring any claims on his own behalf or on behalf of any other person or entity against the Company or any other person or entity referred to herein, now known or unknown which may have arisen, or which may arise, from Executive’s employment with or separation from the Company as described in this Agreement or otherwise.
No Pending Lawsuits. The Executive represents that he has no lawsuits, claims or actions pending in his name, or on behalf of any other person or entity, against the Company or any of the Released Parties.
