Common use of No Petition Agreement Clause in Contracts

No Petition Agreement. WFS covenants and agrees that, for a period of one year plus one day after payment in full of all amounts payable in respect of the Notes and the Certificates, it will not institute against, or join any other Person in instituting against the Company any bankruptcy, reorganization, arrangement, conservatorship, receivership, insolvency or liquidation proceedings, or other proceedings under any federal or state bankruptcy, receivership or similar law, in connection with any amounts due WFS (or any Affiliate or parent thereof) under any Transaction Agreement or otherwise without the prior written consent of Financial Security. The provisions of this paragraph shall survive termination of this Agreement.

The provisions of this paragraph shall survive termination of this Agreement.

WFS WFAL 2 covenants and agrees that, for a period of one year plus one day after payment in full of all amounts payable in respect of the Notes and certificates from the Certificateslast outstanding Trust, it will not institute against, or join any other Person in instituting against the Company any Depositor or WFS any bankruptcy, reorganization, arrangement, conservatorship, receivership, insolvency or liquidation proceedings, or other proceedings under any federal or state bankruptcy, receivership or similar law, in connection with any amounts due WFS WFAL 2 (or any Affiliate or parent thereof) under any Transaction Existing Agreement or otherwise without the prior written consent of Financial Security. The provisions of this paragraph shall survive termination of this Agreement.
