No Prior Business. Since the date of its formation, the Company has not conducted any business, nor has it incurred any liabilities or obligations (direct or indirect, present or contingent), in each case except in connection with the Formation Transactions and the Public Offering and as contemplated under this Agreement.

Neither Purchaser nor Merger Sub has engaged in any business or activity of any kind or entered into any agreement or arrangement with any Person or incurred, directly or indirectly, any material liabilities or obligations, other than in connection with the transactions contemplated by this Agreement.

Each Borrower has not traded or carried on business prior to the date of this Agreement other than the entering into a memorandum of agreement in respect of the acquisition of its Ship (in the case of Borrower A, the MOA), the documents executed thereunder and the relevant Approved Charterparty.

(“Fund VI”) and its subsidiaries related to the Equity Interests.
