No Referral Obligation. The parties agree that the benefits to the Medical Group hereunder do not require, are not payment for, and are not in any way contingent upon the admission, referral, purchase, or any other arrangement for the provision of any item or service to or for any of the Medical Group's patients in or from any medical facility or laboratory or from any other entity owned, operated, controlled, or managed by the Management Company.
No Referral Obligation. Nothing herein shall be construed to require Organization to refer patients to Hospital or to require Hospital to refer patients to Organization.

The parties acknowledge and agree that this Agreement does not require, and shall not be construed to require (directly or indirectly, explicitly or implicitly): (a) your use of any service related to any provider, or the referral of any patients treated by you to any provider; or (b) the use of any services of yours by any other provider, or the referral of any patients treated by any other provider to you. This Agreement does not prohibit a party or any employee of a party from obtaining membership on the medical staff of any other hospital or health care entity or from referring patients to or utilizing the services of any other hospital or health care entity.

The parties acknowledge and agree that nothing contained in this Agreement is conditioned on any requirement that either party make referrals to, be in a position to make or influence referrals to, or otherwise generate business for the other party or any of the other party’s affiliates, and nothing contained in this Agreement shall be interpreted to require or obligate either party to make referrals to, be in a position to make or influence referrals to, or otherwise generate business for the other party or any of the other party’s affiliates

The Management Company shall provide prior written notice to the Medical Group before acquiring any ownership, investment interest, or control in, or entering into any agreement or arrangement pursuant to which the Management Company would become responsible for all or any part of the operations or management of, any medical facility, laboratory, or any provider or supplier of ancillary services, diagnostic or therapeutic equipment, prosthetic or orthotic devices, medical supplies, or other items or services furnished to or for use by patients, but only if any of the foregoing is located in California or serves the geographic area served by the Medical Group.
