No Set-off Right. Buyer shall not, and acknowledges that it will have no right, under this Agreement, any Purchase Order, any other agreement, document or Law to, withhold, offset, recoup or debit any amounts owed (or to become due and owing) to Seller or any of its Affiliates, whether under this Agreement or otherwise, against any other amount owed (or to become due and owing) to it by Seller or Seller’s Affiliates, whether relating to Seller’s or its Affiliates’ breach or non-performance of this Agreement, any Purchase Order, any other agreement between (a) Buyer or any of its Affiliates and (b) Seller or any of its Affiliates, or otherwise.
No Set-off Right. S&W shall not, and acknowledges that it will have no right, under this Agreement, any Order, any other agreement, document or law to, withhold, offset, recoup or debit any amounts owed (or to become due and owing) to Supplier or its affiliates, whether under this Agreement or otherwise, against any other amount owed (or to become due and owing) to it by Supplier or its affiliates, whether relating to Supplier’s breach or non-performance of this Agreement, any Order, any other agreement between S&W or its affiliates and Supplier or its affiliates, or otherwise
No Set-off Right. Customer shall not have, and acknowledges that it does not have, any right to withhold, offset, recoup or debit any amounts owed (or to becomedue and owing) to Xxxxxxxx under this Agreement.

Reseller shall not, and acknowledges that it has no right, under this Agreement, any Purchase Order, any other agreement, document or Law, to, withhold, offset, recoup or debit any amounts owed (or become due and owing) to Supplier or any of its Affiliates, whether under this Agreement or otherwise, against any other amount owed (or to become due and owing) to it by Supplier or Supplier s Affiliates, whether relating to Supplier s or its Affiliates breach or non-performance of this Agreement, any Purchase Order, any other agreement between (a) Reseller or any of its Affiliates and (b) Supplier or any of its Affiliates, or otherwise.

Buyer shall not be entitled to, nor shall it, under this Contract withhold, offset, recoup or debit any amounts owed (or to become due and owing) to Supplier or any of its Affiliates against any other amount owed (or to become due and owing) to it by Supplier or Supplier's Affiliates under any other agreement between Buyer and Supplier or their respective Affiliates.

Buyer shall not, and acknowledges that it will have no right to, offset any amounts owed to Seller under this CMA against any other amounts owed (or to become due and owing) to it by Seller or Seller’s Affiliates, whether relating to Seller’s or its Affiliates’ breach or non-performance of this CMA, any Purchase Order or any other agreement.

Reseller shall not, and acknowledges that it has no right, under the Agreement, any Order, any other agreement, document or Law, to, withhold, offset, recoup or debit any amounts owed (or become due and owing) to Vivial or any of its affiliates, whether under the Agreement or otherwise, against any other amount owed (or to become due and owing) to it by Vivial or any of its affiliates, whether relating to Vivial's or its affiliates' breach or non-performance of the Agreement, any Order, any other agreement between (a) Reseller or any of its affiliates and (b) Vivial or any of its affiliates, or otherwise.
No Set-off Right. Buyer shall not have, and acknowledges that it does not have, any right, under this Agreement, any Order, or any other agreement, or under law, to withhold, offset, recoup or debit any amounts owed (or to become due and owing) to Seller.
No Set-off Right. 17.1 The Author shall not set-off any claims against the Publisher against amounts owed to the Publisher unless with the prior written agreement of the Publisher or if the claim is uncontested or has been finally adjudicated in favor of the Author in a court of competent jurisdiction.
No Set-off Right. Any claim for money due or to become due from a Party under this Agreement shall not be subject to deduction or set-off by such Party against any amount due or to become due to such Party from the other Party or its Affiliates, whether relating to a claim under this Agreement or relating to any other transaction.
