No Solicitation; No Hire. During the Term and for five years thereafter, Buyer agrees that it shall not, and will ensure that its agents and affiliates do not, directly or indirectly, hire or solicit or attempt to solicit for employment any persons employed by Rapiscan or its affiliates or any party contracted by Rapiscan to provide Services to Buyer.
No Solicitation; No Hire. During the Term of this Agreement and for a period of one (1) year thereafter, neither Party shall solicit, offer employment to or hire any employee of the other Party or its Affiliates who has or had been involved in the provision of Transition Services or performance of this Agreement; provided, however, that neither Party shall be prohibited from (i) initiating searches for employees through the use of general advertisement or through the engagement of firms to conduct searches that are not targeted or focused on the employees of the other Party (and the hiring of employees that respond to any such searches) or (ii) hiring any such employee not employed by the other Party at the time of solicitation.
No Solicitation; No Hire. (a) For a period of twelve (12) months from the First Time of Delivery, AIG shall not, and shall cause its Affiliates not to, without the prior written consent of TRH, directly or indirectly, solicit for employment or hire any employee of TRH or any Company Subsidiary as of the date hereof; provided, however, that AIG and its Affiliates may employ or hire any such Person who is terminated and is no longer employed by TRH or any Company Subsidiary; and provided further that nothing in this Section 3.24(a) shall prohibit AIG or any of its Affiliates from engaging in general solicitations to the public or general advertising not targeted at employees of TRH or any Company Subsidiary or from employing or hiring any Person who contacts AIG or any of its Affiliates on his or her own initiative or as a result of a general solicitation to the public or general advertising not targeted at employees of TRH or any Company Subsidiary.
(b) For a period of twelve (12) months from the First Time of Delivery, TRH shall not, and shall cause the Company Subsidiaries not to, without the prior written consent of AIG, directly or indirectly, solicit for employment or hire any employee of AIG or any of its Affiliates as of the date hereof; provided, however, that TRH and the Company Subsidiaries may employ or hire any such Person who is terminated and is no longer employed by AIG or any of its Affiliates; and provided further that nothing in this Section 3.24(b) shall prohibit TRH or any Company Subsidiary from engaging in general solicitations to the public or general advertising not targeted at employees of AIG or any of its Affiliates or from employing or hiring any Person who contacts TRH or any Company Subsidiary on his or her own initiative or as a result of a general solicitation to the public or general advertising not targeted at employees of AIG or any of its Affiliates.
(c) The parties hereto acknowledge that the covenants set forth in this Section 3.24 are an essential element of this Agreement and that, but for these covenants, the parties hereto would not have entered into this Agreement. The parties hereto acknowledge that

The JV Companies shall not solicit (directly or indirectly) or knowingly hire any Person who was employed by any Shareholder or its Affiliates, without the written consent of such Shareholder; and no Shareholder shall, and shall cause its Affiliates not to, solicit (directly or indirectly) or knowingly hire any Person who was employed by any JV Company or any other Shareholder for a period commencing from the Closing up to and until the second (2nd) anniversary of the date on which such Shareholder ceases to own all of its respective Shares, without the written consent of the Company or such other Shareholder, unless such hire is carried out through the open market.
No Solicitation; No Hire. Except as provided in this Agreement neither Ranger, nor its Affiliates, shall (1) solicit for employment any executive or employee of the Station or the LMA Station or (2) solicit or employ any person listed on Schedule 6.3, in each case until the earlier of (a) the Closing or (b) three months following the termination of this Agreement in accordance with its terms.

Following delivery of the Product(s) to be delivered to Buyer hereunder and for 12 months thereafter, Xxxxx agrees that it shall not, and will ensure that its agents and affiliates do not, directly or indirectly, hire or solicit or attempt to solicit for employment any persons employed by the Seller or its affiliates or any party contracted by the Seller to provide Services to Buyer.
No Solicitation; No Hire. Following delivery of the Product(s) to be delivered to XXXX hereunder and for twelve (12) months thereafter, Xxxxxx agrees that it shall not, and will ensure that its agents and affiliates do not, directly or indirectly, hire or solicit or attempt to solicit for employment any persons employed by XXXX or its affiliates.
No Solicitation; No Hire. During the period of performance ----------------------- of this IT Services Agreement, and for two (2) years thereafter, neither party hereto shall, without the prior written consent of the other party, hire, solicit for hire or knowingly allow its employees to hire or solicit for hire any of those employees of the other party or its affiliates who are associated with the performance of this IT Services Agreement.
No Solicitation; No Hire. Except as provided by law, for a period of one year after the Closing Date, without Purchaser's written permission, Seller shall not actively solicit any Employee to become an employee of Seller or any Hired Employee to terminate his or her employment with Purchaser. For purposes of this Section, the term "actively solicit" shall not mean or include the placement of advertisements, participation in career days, utilizing headhunters or placement agencies or responding to unsolicited inquiries, applications or resumes. Seller shall not hire or rehire for a period of ninety days after the Closing any Employee to whom Purchaser makes a Qualified Offer.
No Solicitation; No Hire. During the term of this Agreement, and for one (1) year thereafter, both parties agree not to knowingly solicit or to offer employment to any employee of the other party without having obtained the other party’s prior written consent; provided, however, that nothing herein shall restrict or preclude either party’s right to make generalized searches for employees by use of advertisements in the media or by engaging search firms which are not targeted or focused on employees of the other party. This Section shall not be deemed to prohibit either party’s hiring of any employee of the other party who initially contacts the hiring party without any action by the hiring party or anyone acting on the hiring party’s behalf.
