No Undisclosed Liabilities; Absence of Material Adverse Changes Sample Clauses

No Undisclosed Liabilities; Absence of Material Adverse Changes. Capital does not have any liabilities or obligations of any nature, whether or not accrued, contingent or otherwise that would be required by United States generally accepted accounting principles to be reflected on a consolidated balance sheet of Capital (including the notes thereto), other than liabilities and obligations incurred since the Balance Sheet Date in the ordinary course of business consistent with past practices. Since the Balance Sheet Date, (i) Capital has conducted its business only in the ordinary course; (ii) there has not been any declaration, setting aside or payment of any dividend or other distribution in cash, stock or property in respect of Capital's capital stock; (iii) there has not been any action by Capital that, if taken during the period from the date of this Agreement through the Effective Time would constitute a breach of Section 4.1; and (iv) except as required by United States generally accepted accounting principles, there has not been any change by Capital in accounting principles, practices or methods. Since the Balance Sheet Date, there has not been any change, event or condition (whether or not covered by insurance) that has resulted in, or might reasonably be expected to result in, a Material Adverse Effect (as defined in Section 8.8) on Capital.
