No Warranty Pass Through. Fujitsu shall have the right to independently make Product warranties to Customers and Channel Partners consistent with the Product warranty made by Spansion under this Agreement. Fujitsu hereby indemnifies and holds Spansion harmless from and against any liabilities, losses, damages, costs and expenses, including attorneys’ fees and costs, incurred by Spansion resulting from any claims based on or related to any representation or warranty made by Fujitsu regarding the Products that is inconsistent with the warranty made by Spansion hereunder.
No Warranty Pass Through. AMD shall have the right to independently make Product warranties to Customers and Channel Partners consistent with the Product warranty made by FASL under this Agreement. AMD hereby indemnifies and holds FASL harmless from and against any liabilities, losses, damages, costs and expenses, including attorneys’ fees and costs, incurred by FASL resulting from any claims based on or related to any representation or warranty made by AMD regarding the Products that is inconsistent with the warranty made by FASL hereunder.
No Warranty Pass Through. OEM Partner acknowledges and agrees that the warranty provided by Patriot Technologies pursuant to Section 7.1 is for the benefit of “OEM Partner” only, and that no warranties are made to “OEM Partner’s” customers or any third parties. “OEM Partner” will not pass through to its customers or any third parties the warranties made by Patriot Technologies under this Section 7 and will expressly indicate to its customers that they must look solely to “OEM Partner” in connection with any problems, warranty claims or other matters arising with respect to the Appliances
No Warranty Pass Through. Except for the limited warranty expressly set forth in Section 8C(i) above, Newco shall not be entitled to make or pass through any warranties to any third parties regarding the Product unless specifically authorized in writing by Intact on a case-by-case basis. Newco shall be responsible for all representations and warranties it makes to customers.
No Warranty Pass Through. MIA shall not pass through to customers or any other third party the warranties made by Aerogen under this Article 9, shall make no representations to sub-distributors or customers other than that they must look solely to MIA in connection with any problems, warranty, claim or other matters concerning the Product. No warranty, representation or agreement herein shall be deemed to be made for the benefit of any sub-distributor or customer of MIA or any other third party.
No Warranty Pass Through. The Company shall not pass through to its Customers or any other third party the warranties made by PMSI under this Section 7, shall make no other representations to its Customers or any other third party on behalf of PMSI, and shall expressly indicate to its Customers that they must look solely to the Company in connection with any problems, warranty, claim or other matters concerning the Software. No warranty, representation or agreement herein shall be deemed to be made for the benefit of any Customer or any other third party. Notwithstanding the foregoing, the Company may pass through only to Customers only those warranties specified in Section 10 of the attached PMSI Standard Software License Agreement (Appendix B hereto). Repair or replacement of code or other items does not extend the warranty period beyond the initial warranty period which shall begin on the date of installation of the Software at the Customer's facilities.
No Warranty Pass Through. CRYOPORT shall not pass through to its Customers or any other third party the warranties made by KLATU under this Section 10, shall make no other representations to its Customers or any other third party on behalf of KLATU, and shall expressly indicate to its Customers that they must look solely to CRYOPORT in connection with any problems, warranty claims, other claim or other matters concerning Customer Systems or the Developed Technology. No warranty, representation or agreement in this Agreement shall be deemed to be made for the benefit of any Customer of CRYOPORT or any other third party.
No Warranty Pass Through. Photronics shall have the right to make Product warranties to its customers consistent with the Product warranty made by the Company under this Agreement. Photronics hereby indemnifies and holds the Company harmless from and against any liabilities, losses, damages, costs and expenses, including attorneys' fees and costs, incurred by the Company resulting from any claims based on or related to any representation or warranty made by Photronics regarding the Products that is inconsistent with the warranty made by the Company hereunder.
No Warranty Pass Through. Verizon Wireless shall not pass through to its customers, end users or any other third party the warranties made by SMSI under this Agreement. Verizon Wireless shall make no representations to its customers, end users or any other third party on behalf of SMSI. No warranty, representation or agreement herein shall be deemed to be made for the benefit of any customer, end user, or licensee of Verizon Wireless or any other third party.
No Warranty Pass Through. Except for warranties to Fujitsu under the Fujitsu Distribution Agreement, (a) FASL grants no warranties to FASL JAPAN’s customers hereunder and (b) unless otherwise agreed by the parties, FASL JAPAN will not pass through to its end users or any other third party any warranties or representations made by FASL hereunder and will not indicate to its customers that they can look to FASL in connection with any problems, warranty claims or other matters concerning the Products.
