Non-Binding MOU. This Memorandum of Understanding is being signed by the Parties to evidence their in principle non – binding intentions. The Parties acknowledge that no legally binding obligations are intended to arise between them as a result of the signing of this document. Binding obligations are only intended to arise upon signing by the parties of a formal written agreement (See Agreements below). Any action taken by any party in anticipation of approvals will be at the sole risk of that Party. The Parties agree and acknowledge that nothing contained in this Memorandum of Understanding constitutes any of them as agent, partner or trustee of any other of them, or to have authority or power to act for, or create or assume any responsibility or obligation on behalf of any other Party.
Non-Binding MOU. The Parties acknowledge that this MOU is not a binding and enforceable contract and shall not give rise to any obligations on the part of any Party. In no event shall either Party or any of their individual officers, employees or agents in any way be liable or responsible for any obligations contained in this MOU, whether express or implied; nor for any statement, representation or warranty made in connection with this MOU.
Non-Binding MOU. This MOU is intended to constitute an expression and mutual understanding of the Parties’ willingness to work collaboratively in support of the development and deployment of SMR’s. None of the Parties intend this MOU will create any legally binding or enforceable rights or obligations, with the exception of Sections 4.1, 5.1, 5.2, 5.8 (the "Binding Provisions"), which are binding and enforceable.
Non-Binding MOU a) Notwithstanding anything that might be interpreted to the contrary in this MOU above, this MOU is not intended to create a binding agreement between the Parties, but instead shows good faith and intent to proceed. The Parties acknowledge that this MOU is intended solely to set out an expression of the principal terms of a future easement, with such easement subject to each party’s discretionary approval. By executing this MOU, the Parties agree to move forward in good faith to negotiate and draft an easement for the purposes set out herein. Only a fully executed easement will be a binding obligation between the Parties. CLPUD understands any future easement negotiated between the parties Parties will be subject to the approval of City’s governing body, the Newport City Council. CLPUD further understands that the Newport City Council, in its complete discretion, may accept or reject the negotiated easement.
Non-Binding MOU. 13.1 This Memorandum of Understanding is not legally binding and is only intended to set out a summary of the understanding between the Parties. Nothing expressed or implied herein (whether by operation of law or otherwise) will legally commit or oblige any Party to perform or observe any obligation set out in this Memorandum of Understanding.
13.2 Nothing in this Memorandum of Understanding is intended to restrict any Party from proceeding in its efforts to conduct its own research, to develop any related technology, or from cooperating with, or receiving cooperation from, public or private agencies, organizations, and individuals with respect to any of the normal activities of any of Party.
Non-Binding MOU. THIS IS A MEMORANDUM OF UNDERSTANDING ONLY AND IS 18 NOT A BINDING OR ENFORCEABLE CONTRACT. THE PROVISIONS OF THIS MOU, AND ANY 19 REPRESENTATIONS OR AGREEMENTS HEREIN, DO NOT CONSTITUTE, AND SHALL NOT GIVE RISE TO, 20 ANY LEGALLY BINDING OBLIGATION ON THE PART OF ANY PARTY. THE PARTIES AGREE THIS MOU 21 ESTABLISHES THE FRAMEWORK TO CONTINUE TO REVIEW THE HOUSING DEVELOPMENT PROGRAM 22 AS OUTLINED IN THIS MOU AND TO CONTINUE TO NEGOTIATE THE IMPLEMENTING AGREEMENTS, 23 ALL SUBJECT TO BOARD OF REGENTS’ APPROVAL.
Non-Binding MOU. This MOU shall not constitute a formal and non-binding agreement, except as to the provisions set forth in paragraph 10 hereof. This MOU summarizes the present understanding of the discussions regarding the terms and conditions of the proposed transaction and we anticipate that any agreement that is negotiated between us with respect to this transaction will be generally consistent with the foregoing. We have not entered into any agreement to negotiate a definitive agreement. Either party may, at any time prior to execution of a definitive agreement, propose different terms from those set forth above, or unilaterally terminate negotiations by giving written notice to the other party without any liability to the other party.
Non-Binding MOU. 2.1 The parties acknowledge that the terms of this MOU are not intended to be legally binding; that they are not exhaustive and that nothing in the MOU will be construed as creating any legal relationship between the parties.
2.2 The MOU does not create any rights, obligations or duties for any party, but is a statement of intent by the parties and intended to encourage mutual cooperation.
2.3 Nothing in this MOU effects any other agreements which may exist between the parties at the date of this MOU or at any subsequent date.
Non-Binding MOU. This MOU is solely an indication of the Parties’ present intention to work together on the Project under the terms and conditions expressed in this MOU and is not intended by the Parties in any way to constitute a binding commitment by any of the Parties to perform the intention except as provided in the MOA. It is the intent of the Parties that no liability or obligation will arise to any Party who is a signatory to this MOU nor can any cause of action be based on any provision under this MOU.
Non-Binding MOU. The Parties acknowledge that this MOU is not a binding and enforceable contract and shall not give rise to any obligations on the part of either Party. This MOU establishes the framework to commence a collaborative relationship between the Parties, which may be further defined by dicussions and agreements between the Parties and individual institutions. In no event shall either Party or any of their individual officers, employees or agents in any way be liable or responsible for any obligations contained in this MOU, whether express or implied; nor for any statement, representation or warranty made in connection with this MOU. The terms and conditions of any future agreement will supersede this MOU. Nothing contained herein shall prevent the parties from exploring partnerships or entering into negotiations with third parties with regard to the subject matter of this MOU.
