Non-Binding MOU. This Memorandum of Understanding is being signed by the Parties to evidence their in principle non – binding intentions. The Parties acknowledge that no legally binding obligations are intended to arise between them as a result of the signing of this document. Binding obligations are only intended to arise upon signing by the parties of a formal written agreement (See Agreements below). Any action taken by any party in anticipation of approvals will be at the sole risk of that Party. The Parties agree and acknowledge that nothing contained in this Memorandum of Understanding constitutes any of them as agent, partner or trustee of any other of them, or to have authority or power to act for, or create or assume any responsibility or obligation on behalf of any other Party.
Non-Binding MOU. The Parties acknowledge that this MOU is not a binding and enforceable contract and shall not give rise to any obligations on the part of any Party. In no event shall either Party or any of their individual officers, employees or agents in any way be liable or responsible for any obligations contained in this MOU, whether express or implied; nor for any statement, representation or warranty made in connection with this MOU.
Non-Binding MOU. This MOU is intended to constitute an expression and mutual understanding of the Parties’ willingness to work collaboratively in support of the development and deployment of SMR’s. None of the Parties intend this MOU will create any legally binding or enforceable rights or obligations, with the exception of Sections 4.1, 5.1, 5.2, 5.8 (the "Binding Provisions"), which are binding and enforceable.
Non-Binding MOU. This MOU is not a legally binding agreement and no Party shall have any legal obligation or liability to the other Parties with respect to the matters set forth in this MOU, unless and until formal written legal agreements are executed by all Parties. Any Party may, without liability, terminate discussions with the other Parties on any of the matters set forth in this MOU at any time. Nothing in this MOU shall be deemed to constitute the Parties hereto as partners, joint venturers, employer and employee, or principal and agent.
Non-Binding MOU a) Notwithstanding anything that might be interpreted to the contrary in this MOU above, this MOU is not intended to create a binding agreement between the Parties, but instead shows good faith and intent to proceed. The Parties acknowledge that this MOU is intended solely to set out an expression of the principal terms of a future easement, with such easement subject to each party’s discretionary approval. By executing this MOU, the Parties agree to move forward in good faith to negotiate and draft an easement for the purposes set out herein. Only a fully executed easement will be a binding obligation between the Parties. CLPUD understands any future easement negotiated between the parties will be subject to the approval of City’s governing body, the Newport City Council. CLPUD further understands that the Newport City Council, in its complete discretion, may accept or reject the negotiated easement.
Non-Binding MOU. This MOU is not legally binding and is only intended to summarize the understanding among the Parties and to show an intent to proceed in general accordance with the commitments and agreements summarized herein. Nothing expressed or implied herein legally commits any Party to perform any obligation or commitment. Only a fully executed contract(s) will be binding on the Party(ies) signing said contract(s).
Non-Binding MOU. 13.1 This Memorandum of Understanding is not legally binding and is only intended to set out a summary of the understanding between the Parties. Nothing expressed or implied herein (whether by operation of law or otherwise) will legally commit or oblige any Party to perform or observe any obligation set out in this Memorandum of Understanding.
13.2 Nothing in this Memorandum of Understanding is intended to restrict any Party from proceeding in its efforts to conduct its own research, to develop any related technology, or from cooperating with, or receiving cooperation from, public or private agencies, organizations, and individuals with respect to any of the normal activities of any of Party.
Non-Binding MOU. 2.1 The parties acknowledge that the terms of this MOU are not intended to be legally binding; that they are not exhaustive and that nothing in the MOU will be construed as creating any legal relationship between the parties.
2.2 The MOU does not create any rights, obligations or duties for any party, but is a statement of intent by the parties and intended to encourage mutual cooperation.
2.3 Nothing in this MOU effects any other agreements which may exist between the parties at the date of this MOU or at any subsequent date.
Non-Binding MOU a. It is the intent of the Parties to work together in good faith to implement the terms of this MOU such that the rights-of-way and airport navigational array easementeasements can be established in an efficient and equitable manner. However, this memorandum is non- binding on the Parties and represents only the intent of the Parties with respect to the subjects herein.

Only those rights and obligations that are set forth in definitive written agreements, if any, duly executed by all parties thereto, will create any legally binding rights, obligations or consequences with respect to the subject matter thereof or this MOU.
