Non-Solicitation and No-Hire. The Executive shall not, during the Term and for the Restricted Period (regardless of the reason for termination of the Executive’s employment or the party causing it):

The Grantee further agrees that, during the Restricted Period, the Initial Retirement Restricted Period, and the periods set forth in Paragraphs 17(c)(i) and (ii) (as applicable), the Grantee will not, directly or indirectly solicit, entice, or recruit employees of the Company to leave its employ, or offer or cause to be offered employment to any person who was employed by the Company at any time during the twelve (12) months prior to the termination of Grantee’s Continued Service. General mass solicitations of employment that are not directed at the Company or any employee(s) of the Company shall not be prohibited by this Paragraph 18. For purposes of this Paragraph 18 (and the preceding Paragraph 17), the “Company” shall include the Company and its Subsidiaries.
Non-Solicitation and No-Hire. During the Restricted Period, the Restricted Party shall not, and shall cause each of his affiliates not to, directly or indirectly: (i) solicit or transact any business with, or assist any third party in soliciting or transacting any business with, any Persons who are, or were in the past twenty-four (24) months, customers or suppliers of the Business; (ii) cause any customers or suppliers of the Company or any Company Subsidiary referred to in clause (i) to cease doing business with or to terminate its business relationship with the Company’s Business; or (iii) solicit for employment or hire any employees of the Company or any Company Subsidiary, unless such employee’s employment has been terminated by the Company or any Company Subsidiary, as the case may be, at least six (6) months before any such solicitation or hiring.
Non-Solicitation and No-Hire. The Grantee agrees that for the duration of the Restraint Period, the Grantee shall not directly or indirectly solicit, induce, hire, recruit or encourage any of the Company’s employees, agents or contractors to leave their employment or engagement with the Company, whether on the Grantee’s own behalf or on behalf of any other person or entity. General mass solicitations of employment that are not directed at the Company or any employee(s) of the Company shall not be prohibited by this Paragraph 18.
Non-Solicitation and No-Hire. Each party agrees that, for a period of twelve (12) months from the Distribution Date such party shall not solicit for employment, and for a period of six (6) months from the Distribution Date such party shall not hire, any individual who is an HPI Employee, in the case of Enterprise, or an Enterprise Employee, in the case of HP; provided, however, that this Section 7.8 shall not prohibit: (a) generalized solicitations that are not directed to employees of the other party (provided that this clause (a) shall not by itself permit the hiring of employees otherwise prohibited by this Section 7.8); (b) the solicitation or hiring of a Person whose employment was terminated by the other party (including any termination pursuant to a workforce reduction program but excluding any voluntary termination by such Person); (c) the solicitation or hiring of a Person after receipt by the soliciting or hiring party (in advance of any solicitation or hiring or, in the case of a response to a general solicitation as permitted under clause (a) above, in advance of any subsequent solicitation in connection with the recruiting process or hiring) of the express written consent of the senior Human Resources executive of the other party; or (d) the solicitation or hiring of any Former HPI Employee (as defined in the Employee Matters Agreement) or Former Enterprise Employee (as defined in the Employee Matters Agreement).

In further consideration of the payments by the Company to Executive pursuant to this Agreement, Executive hereby covenants and agrees that, during the Restricted Period, Executive shall not (i) induce or attempt to induce any employee or consultant of the Company Group to leave the employ or services of the Company Group, or in any way interfere with the relationship between the Company Group and any employee or consultant thereof, (ii) except in the performance of Executive’s duties for the Company Group, hire any person who was an employee of the Company Group at any time during the six (6) month period immediately prior to the date on which such hiring would take place, or (iii) call on, solicit or service any customer, supplier, licensee, licensor or other business relation of the Company Group in order to induce or attempt to induce such person to cease doing business with, or reduce the amount of business conducted with, the Company Group, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation of the Company Group.

For purposes of this Paragraph 13, the “Company” shall include the Company or any parent of the Company or Subsidiary.
Non-Solicitation and No-Hire. (A) Bluegreen and the Company agree that, so long as this Agreement is effective, without the prior written consent of the BCLLC, neither Bluegreen, the Company nor any of their respective representatives will solicit or cause to be solicited the employment of, or employ, any person who is now or hereafter employed by the BCLLC, provided, however, that Bluegreen and the Company may solicit or cause to be solicited the employment of, or employ, any person whose employment at BCLLC has terminated more than one year prior to such solicitation or employment by Bluegreen or the Company.

During the Restricted Period, Seller will not, directly or indirectly, (a) solicit for employment or hire any person who is an Employee immediately prior to the Closing Date and who becomes a Transferred Employee or (b) induce or attempt to influence any such person to terminate his or her employment with Buyer; provided that the foregoing will not apply to the solicitation or hiring of any Person (i) via general solicitations not targeted at such employees or (ii) who is terminated from his or her employment with Buyer or who otherwise is no longer, and for the prior *** (***) months has not been, employed by Buyer.
