Nonsolicitation Agreements. Contemporaneously with the Closing of -------------------------- this Agreement, the Genesis employees listed in ANNEX F attached hereto will each execute and deliver to Newco a Nonsolicitation Agreement, the form of which is attached hereto as Exhibit J.
Nonsolicitation Agreements. Employees often wish to maintain relationships with their former coworkers or customers. Is it legal to ask an ex-colleague to join a new employer? Is it legal to ask customers that ex-employees acquired for a previous employer to follow them to a new employ- er? The legality of these activities is usu- ally determined on a case-by-case basis.
Nonsolicitation Agreements. In connection with any payments made by S1, Edify or Edify Holding to those employees of Edify listed on Exhibit 7.14, S1 will use commercially reasonable efforts to include nonsolicitation agreements in any documentation executed in connection with such payments. S1 assumes no responsibility for the enforceability of such documentation.
Nonsolicitation Agreements. Each of Cardkey Systems, Inc., Cardkey Systems Ltd., Amtech Europe Limited, Cotag International Limited, Xxxxx Xxxx, Xxxxx Xxxx and Xxxxxx Xxxxxxxx (collectively, the "Restricted Parties") shall have executed and delivered to UNOVA, for execution by UNOVA, a nonsolicitation agreement, substantially in the form set forth as Exhibit G (a "Nonsolicitation Agreement").
